AGREEMENT FOR PROFESSIONAL SERVICES <br /> <br /> and SOFTWARE LICENSE <br /> <br /> (CRW SYSTEM, INC, d.b.a CRW ASSOCIATES) <br /> <br /> THIS AGREEMENT, made and entered into this _28th. day of_January , <br />2002, by and between the CITY OF REDWOOD CITY, a municipal corporation of the State of <br />California, ("City"), and CRW SYSTEM, INC, d.b.a CRW ASSOCIATES ("Consultant"); <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, City proposes to install, implement and deploy an Automated Permit Tracking <br />Software system in the City of Redwood City (the "Project"); and <br /> <br /> WHEREAS, in connection with the Project, the City requires professional services; and <br /> <br /> WHEREAS, Consultant represents th_at it possesses the experience, and is qualified to perform <br />the aforesmd services for the Project; <br /> <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> <br /> 1. CONSULTANT'S SERVICES. Consultant shall provide computer software license, and <br />shall perform installation, data conversion, implementation, training and related services described in <br />Exhibits "A, B, C, D, E, F, and G" hereof, attached hereto and by this reference incorporated herein. <br /> <br /> 2. COMPENSATION~ EXPENSES; PAYMENT. City shall compensate Consultant for all <br />services performed by Consultant hereunder in an amount based upon Consultant's lump sum project <br />fees. Consultant's project fees are set forth in Consultant's fee schedule marked Exhibit "F" hereof, <br />attached hereto and by this reference incorporated herein. <br /> <br /> Notwithstanding the foregoing, th~ combined total of compensation and reimbursement of costs <br />payable hereunder shall not exceed the sum of One Hundred Ninety Four Thousand Five Hundred <br />($194,500) unless the performance of services and/or reimbursement of costs and expenses in excess of <br /> <br /> <br />
