lights, ornamental street furniture, and other streetscape features that will enhance the <br /> dining and entertainment experience downtown being created by the retail-cinema <br /> project "On Broadway." A drop-off area for movie- goers will be constructed on <br /> Broadway next to the theatre that will be flanked with Palm trees and street trees. <br /> D. The City and Agency have further determined that the following street <br /> improvements are required in connection with the Project: (1) the section of Jefferson <br /> Avenue from Marshall Street to Middlefield Road needs to be revised from four lanes, <br /> two lanes in each direction; to two lanes, one in each direction with a center left turn <br /> lane, along with diagonal parking on the west side. This work will also include replacing <br /> the existing traffic signals at the intersection of Jefferson Avenue and Broadway and <br /> modifying the signals at Middlefield and Jefferson Avenue. This work is contiguous with <br /> the construction of the "On Broadway" project. (2) A large portion of the roadway on <br /> Middlefield Road befinreen Winslow and Broadway will be constructed on top of the <br /> City's underground parking facility; and new utility services for water, sewer, gas, <br /> electric and rain water leaders will need to be installed and connected in the public right- <br /> of-way surrounding the Development. This work is referred to collectively as the "Street <br /> Modifications." The coordination and timing to construct the Streetscape improvements, <br /> the Street Modifications and the underground parking garage at the same time will <br /> minimize any further disruption to the downtown businesses and insures the successful <br /> opening of the "On Broadway" development. <br /> E. As specified in the DDA, Developer will construct the Streetscape <br /> Improvements, and is responsible for overseeing the development and construction of <br /> the Streetscape Improvement portion of the Project, pursuant to the terms and <br /> conditions contained in this Agreement. <br /> F. The City, the Agency and Developer have previously entered into that <br /> certain Construction and Reimbursement Agreement for Relocation of Reinforced <br /> Concrete Box Culvert, dated April 8, 2003 (the "Culvert Relocation Agreement") <br /> providing for the Developer's oversight of the design, development and construction of <br /> the relocation of the Reinforced Concrete Box Culvert on the Project Site and the <br /> relocation of private utility lines thereon. <br /> 2 <br /> 840847v8 33786/0001 <br />
