This instrument, together with any <br />Exhibits and schedules hereto, constitutes the entire Agreement between the parties relating to <br />the subject matter of this Agreement. This Agreement can be altered, amended or revoked <br />only by an instrument in writing signed by the parties. No representations whatsoever have <br />been made: relating to the subject matter of this Agreement except as are expressly stated in <br />writing in this Agreement. <br /> <br />38. Recordation. City shall request recordation of this Agreement in the Official <br />Records of San Mateo County, California within 10 days of the Effective Date. If this <br />Agreement is not recorded within 15 days of the Effective Date, the: validity of the Agreement <br />is not affected. Pacific Shores may record this Agreement in the Official Records of San <br />Mateo County, California at any time. <br /> <br />39. Exhibits. Limitation of City's Obli2;ations and Liability When Acting Through <br />District. Notwithstanding any provision of this Agreement to the contrary, the performance <br />of any duty or obligation undertaken by City through District pursuant to the terms and <br />conditions of this Agreement is linúted to and by the authority and powers conferred by City <br />upon City acting by and through District, and any and all expenditures incurred by City in <br />performing any such duty or obligation shall be paid out of District funds only. City's <br />general funds shall not be liable for the performance of any such duty or obligQtion. <br /> <br />41. Port Execution. This Agreement has been executed by the City of Redwood <br />City acting by and through its Board of POlt CollllIaissiunc::rs (Lhe "Port'") pursuant to the <br />Port's obligations under the Exchange Agreement to signify the Port's finding that this <br />Agreement is consistent with the Exchange Agreement and to signify the fact that no further <br />approvals by Port are required as to any of the contents of this Agreement and Pacific Shores' <br /> <br />., 'DCC'.OO'\."'\>GII\C%'I'Y .D>' <br /> <br />33 <br /> <br />20._.""
