<br />OR:_, <br /> <br />AMENDMENT NO.4 <br />TO EXTEND AND AMEND AGREEMENT FOR <br />2005-2006 Comprehensive Street Tree Maintenance Contract <br />The Professional Tree Care Company <br /> <br />This ~~ent No. 4 is entered into and effective as of the \{' day of <br />ax /, 2009, extending and amending the agreentnt dated <br />November15, 2005 (the "Agreement") by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California ("City"), and The <br />Professional Tree Care Company, ("Contractor") (collectively, the "Parties") for <br />performing tree maintenance services. <br /> <br />RECITALS <br /> <br />A. On February 1, 2007, the Parties executed Amendment No.1 in the <br />amount of $218,595.00 to the Agreement; and <br /> <br />B. On June 6, 2007, the Parties executed Amendment No.2 in the amount of <br />$224,060.00 to the Agreement; and <br /> <br />C. On August 26, 2008, the Parties executed Amendment No. 3 in the <br />amount of $891 ,583.00 to the Agreement; and <br /> <br />D. The Parties desire to extend the Agreement for a period of one year <br />through August 31,2010; and <br /> <br />E. The Parties have negotiated and agreed to a supplemental scope of work <br />and fee schedule, which is attached to and incorporated in by this reference as Exhibit <br />"A," Scope of Services and Fee. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Contractor will provide those services described in <br />Exhibit "A". With this Amendment, the total aggregate Agreement amount shall not <br />exceed one million one hundred twenty one thousand nine hundred and sixteen dollars <br />($1,121,916.00). <br /> <br />2. City will pay Contractor for all work associated with those services <br />described in Exhibit "A" on a unit bid price basis not-to-exceed two hundred thirty <br />thousand three hundred thirty three dollars ($230,333.00).
