Section 3. The City hereby approves membership by the City in ABAG FANC. Section 4. The City hereby approves the form of, and authorizes and directs the Mayor, Vice Mayor, City Manager or Finance Director of the City or any designee of such officer (the "Designated Officers "), to execute and deliver the JPA Agreement, in substantially the form on file with the City Clerk, and authorizes and directs the City Clerk to attest to such signature, together with any changes therein deemed advisable by the Designated Officer signing the JPA Agreement. Section 5. The Designated Officers and other officers and officials of the City, are hereby authorized and directed to take all actions and do all things necessary or desirable hereunder with respect to membership in ABAG FANC and the issuance and delivery of the Bonds, including but not limited to the execution and delivery of any and all agreements, certificates, instruments and other documents which they, or any of them, may deem necessary or desirable and not inconsistent with the purposes of this resolution. Section 6. The issuance and delivery of the Bonds shall be subject to approval by ABAG FANC of all financing documents relating thereto to which ABAG FANC is a party and subject to the sale of the Bonds by ABAG FANC to the underwriter thereof. Section 7. This resolution shall take effect immediately. THE FOREGOING RESOLUTION is approved and adopted by City Council of the City of Redwood City this 14th day of August, 2000.
