<br />DES:ò;~ 10/16/96 (003/72) <br />DES:l ~ 10/17/96R <br /> <br />work stoppages, or other labor disturbances conducted by, or on <br /> <br />behalf of, Consultant's officers or employees. <br /> <br />Consultant acknowledges the importance to Agency of Agency's <br /> <br />proj ect schedule and agrees to put forth its best professional <br /> <br />efforts to perform its services under this agreement in a manner <br /> <br />consistent with that schedule. <br /> <br />Agency understands, however, that <br /> <br />Consultant's performance must be governed by sound professional <br /> <br />consulting practices. <br /> <br />8. <br /> <br />TERM; <br /> <br />TERMINATION. <br /> <br />The <br /> <br />term of <br /> <br />this <br /> <br />agreement <br /> <br />shall <br /> <br />continue <br /> <br />until <br /> <br />the <br /> <br />Bonds <br /> <br />are <br /> <br />issued <br /> <br />or <br /> <br />unti 1 Agency <br /> <br />formally <br /> <br />abandons the bond issuance, pursuant to an Agency action, unless <br /> <br />previously terminated by mutual consent of the parties hereto. <br /> <br />Nothing herein contained shall be deemed a limitation upon the <br /> <br />right <br /> <br />of <br /> <br />Agency <br /> <br />to <br /> <br />terminate <br /> <br />this <br /> <br />agreement <br /> <br />for <br /> <br />cause, <br /> <br />or <br /> <br />otherwise to exercise such rights or pursue such remedies as may <br /> <br />accrue to Agency hereunder. <br /> <br />9. <br /> <br />RECORDS. <br /> <br />Consultant shall keep and maintain accurate <br /> <br />records <br /> <br />of <br /> <br />all <br /> <br />time <br /> <br />expended <br /> <br />and <br /> <br />costs <br /> <br />and <br /> <br />expenses <br /> <br />incurred <br /> <br />relating <br /> <br />to <br /> <br />services <br /> <br />to be <br /> <br />performed by <br /> <br />Consul tant hereunder. <br /> <br />Said records shall be available to Agency for review and copying <br /> <br />during regular business hours at Consultant's place of business, <br /> <br />or as otherwise agreed upon by the parties. <br /> <br />10. <br /> <br />HOLD <br /> <br />HARMLESS. <br /> <br />Consultant <br /> <br />hereby <br /> <br />agrees <br /> <br />to <br /> <br />defend, <br /> <br />indemnify and save harmless Agency, the City of Redwood City, its <br /> <br />Council, boards, commissions, officers, employees and agents from <br /> <br />and against any and all claims, suits, actions, liability, loss, <br /> <br />3 <br />
