<br />ORIGINAL <br /> <br />AGREEMENT BETWEEN THE <br />REDWOOD CITY REDEVELOPMENT AGENCY, <br />AND <br />THE SAN MATEO COUNTY HISTORICAL ASSOCIATION <br />FOR ASSISTANCE IN IMPROVEMENT TO A PORTION OF COUNTY <br />COURTHOUSE FOR USE AND OPERATION AS HISTORICAL MUSEUM <br /> <br />This agreement, made and entered into this_-J-~t~__day <br />of~, 1997, by and between the Redwood City Redevelopment <br />Agency (f:)\gency"), a redevelopment agency of the State of California, and <br />the San Mateo County Historical Association ("Association"), a non-profit <br />organization incorporated in the State of California operating under section <br />501 (c)(3) of the Internal Revenue Code. <br /> <br />WITNESSETH <br /> <br />WHEREAS, Association is accredited by the American Association of <br />Museums; and <br /> <br />WHEREAS, Association is the official repository of the County of San <br />Mateo's records and artifacts; and <br /> <br />WHEREAS, Association manages and operates the San Mateo County <br />Historical Museum ("Museum"); and <br /> <br />WHEREAS, Association desires to relocate the Museum from its <br />present site; and <br /> <br />WHEREAS, the Board of Supervisors of the County of San Mateo <br />("County") has agreed to make available to Association a portion of the San <br />Mateo Courthouse ("Courthouse") located in Redwood City's downtown area <br />for Association to use, rent-free, for operation of the Museum and has agreed <br />to perform required seismic upgrading to the Courthouse at an estimated <br />cost of $2.8 million; and <br /> <br />WHEREAS, in consideration for use of the Courthouse Association has <br />agreed to perform a project consisting of improvements to the Courthouse for <br />its occupancy by Museum (the "Project"); and <br /> <br />WHEREAS, Association has identified and provided architectural cost <br />estimates for certain improvements representing a portion of the Project, <br />which improvements are more particularly identified and described in <br />Exhibit "A" attached hereto and made part hereof by this reference (the <br />"Improvements"); and <br /> <br />WHEREAS, Association represents that completion of the <br />Improvements will enable Association to occupy and begin to operate the <br />Museum within specified locations and facilities of the Courthouse, which <br /> <br />-1- <br /> <br />AK/DES: Historical Museum: v.4: 5/15/97 <br />
