<br />by Association without the written consent of the Agency violates this <br />Agreement and shall automatically terminate this Agreement. <br /> <br />(b) All assignees approved by Agency, and subcontractors or <br />consultants engaged by Association to perform work related to the <br />Improvements shall be subject to the same terms and conditions applicable <br />to Association under paragraphs 12, 13, 17 and 18 of this agreement, and the <br />Association shall be liable for the assignee's, subcontractors or consultant's <br />acts and/or omissions. <br /> <br />(c) All agreements between Association and subcontractor and/or <br />assignee for services pursuant to this Agreement shall be in writing and shall <br />be provided to the Agency upon request. <br /> <br />7. Compliance with Applicable Laws. All services to be performed by <br />Association pursuant to this Agreement shall be performed in accordance <br />with all applicable Federal, State, County and Municipal laws, ordinances, <br />regulations, including but not limited to appropriate licensure, certification <br />regulations, and provisions pertaining to confidentiality records, and <br />applicable quality assurance regulations. <br /> <br />8. Alteration of Agreement. This agreement is entire and contains all <br />the terms and conditions agreed upon by the parties. Except as expressly <br />provided under subsection B of paragraph 2 of this agreement, no alteration <br />or variation shall be valid unless made in writing and signed by the parties <br />hereto, and no oral understanding or agreement shall be binding on the <br />parties hereto. <br /> <br />9. Notices.
