<br />DES:dj~ 10/24/97 <br /> <br />(021/60) <br /> <br />rendered <br /> <br />or <br /> <br />costs <br /> <br />and <br /> <br />expenses <br /> <br />incurred <br /> <br />during <br /> <br />the <br /> <br />period <br /> <br />to <br /> <br />which the statement relates. <br /> <br />Consultant's records aforesaid <br /> <br />shall be made available to City at City's offices during regular <br /> <br />business hours upon request of City. <br /> <br />Payment shall be made by <br /> <br />City upon submittal of appropriate statements therefor. <br /> <br />5. <br /> <br />STATUS. <br /> <br />In <br /> <br />the <br /> <br />performance <br /> <br />of <br /> <br />services <br /> <br />hereunder, <br /> <br />Consultant shall be, and is, an independent contractor, and shall <br /> <br />not be deemed to be an employee or agent of City. <br /> <br />6. <br /> <br />OWNERSHIP OF DOCUMENTS. <br /> <br />All reports, programs, computer <br /> <br />programs, plans, studies, photographs, recordings, renderings, or <br /> <br />other documents or tangible things made or produced by Consultant <br /> <br />in <br /> <br />completion <br /> <br />of <br /> <br />tasks <br /> <br />assigned <br /> <br />to <br /> <br />Consultant <br /> <br />shall, <br /> <br />upon <br /> <br />submission or delivery thereof to City, <br /> <br />become the property of <br /> <br />City. <br /> <br />All <br /> <br />preliminary <br /> <br />notes, <br /> <br />personal <br /> <br />memoranda, <br /> <br />research, <br /> <br />outlines, draft documents or other documents or tangible things <br /> <br />prepared or used in preparation of matters to be submitted or <br /> <br />delivered upon completion of a task shall remain the property of <br /> <br />Consultant. <br /> <br />If City uses Consultant's documents for any purpose <br /> <br />other <br /> <br />than <br /> <br />the <br /> <br />specific <br /> <br />project <br /> <br />for <br /> <br />which <br /> <br />this <br /> <br />agreement <br /> <br />is <br /> <br />applicable, such use shall be at City's own risk. <br /> <br />7 . <br /> <br />ASSIGNABILITY. <br /> <br />Neither <br /> <br />Consultant <br /> <br />nor <br /> <br />City <br /> <br />shall <br /> <br />subcontract, <br /> <br />assign, <br /> <br />sell, <br /> <br />mortgage, <br /> <br />hypothecate <br /> <br />or <br /> <br />otherwise <br /> <br />transfer <br /> <br />their <br /> <br />respective <br /> <br />interests <br /> <br />or <br /> <br />obligations <br /> <br />in <br /> <br />this <br /> <br />agreement, without the express prior written consent of the non- <br /> <br />transferring <br /> <br />party. <br /> <br />Notwithstanding <br /> <br />the <br /> <br />foregoing, <br /> <br />City <br /> <br />acknowledges and agrees that Consultant may subcontract portions <br /> <br />of its work under this agreement. <br /> <br />3 <br /> <br />indemnify <br /> <br />and <br /> <br />save <br /> <br />harmless <br /> <br />City, <br /> <br />its <br /> <br />Council, <br /> <br />boards, <br /> <br />commissions, officers, employees and agents from and against any <br /> <br />and all claims, suits, actions, liability, loss, damage, expense, <br /> <br />costs <br /> <br />(including, <br /> <br />without <br /> <br />limitation, <br /> <br />costs <br /> <br />and <br /> <br />fees <br /> <br />of <br /> <br />litigation) <br /> <br />of every nature, kind and description, which may be <br /> <br />brought against, or suffered or sustained by, City, its Council, <br /> <br />4 <br />
