<br />and any document between County and such transferee evidencing the <br /> <br />transfer of capacity rights shall contain a clause prohibiting such <br /> <br />further transfer, and any attempt at such further transfer shall be <br /> <br />void. <br /> <br />Upon the expiration or earlier termination of the term or <br /> <br />duration of any such lease, license or other temporary disposition <br /> <br />of the capacity rights so conveyed by County, the right of use and <br /> <br />possession thereof shall revert to County, and said capacity rights <br /> <br />shall be deemed severed from the land to which they pertained during <br /> <br />said leasing, licensing, or other temporary disposition, and all <br /> <br />rights and privileges of use appurtenant thereto shall again be <br /> <br />vested in County, subject to all terms and conditions hereof. <br /> <br />City's consent to, or denial of, any such proposed sale, <br /> <br />assignment, leasing, licensing or other disposition shall be made <br /> <br />ln accordance with the following procedure: <br /> <br />(i) <br /> <br />COUlèty <br /> <br />shall submit written application to City therefor; <br /> <br />(ii) <br /> <br />City's City Manager shall review, or cause to be reviewed, <br />said written application and shall submit a report <br />thereof with recommendations to City's City Council <br />and to County; <br /> <br />(iii) <br /> <br />The City Council shall review County's written application <br />and the City's Manager's report and recommendations, <br />and shall receive and review any additional written or <br />oral presentations with respect to the subject of the <br />proposed sale, assignment, leasing, licensing, or other <br />disposition which said Council, in its discretion, <br />deems relevant; <br /> <br />(iv) <br /> <br />Upon completion of the City Council's review, the <br />Council shall grant or deny County's request; provided, <br />however, that the Council shall grant said request in <br />the event that the Council finds that: <br /> <br />[a] <br /> <br />In the case of a sale, assignment or other permanent <br />disposition, there is no reasonable likelihood <br />within the foreseeable future that the capacity <br />rights proposed to be sold, assigned or otherwise <br />disposed of, will be necessary for the use of, or <br />with respect to the lands to which such capacity <br />rights originally were allocated; or <br /> <br />[b] <br /> <br />In the case of a lease, license or other temporary <br />disposition, such capacity rights are not necessary <br />for the term or duration thereof; and <br /> <br />-8- <br />
