MEMORANDUM OF UNDERSTANDING <br /> <br /> BETWEEN THE CITIES OF BELMONT, BRISBANE, MILLBRAE, REDWOOD <br /> CITY, SAN CARLOS AND SAN MATEO, AND THE COUNTY OF SAN MATEO <br /> <br /> AND AT&T BROADBAND <br /> <br />1. The Memorandum of Understanding (MOU) is between AT&T Broadband and <br /> the fo. llowing communities: <br /> <br /> City of Belmont <br /> City of Brisbane <br /> City of Millbrae <br /> City of Redwood City <br /> City of San Carlos <br /> City of San Mateo <br /> County of San Mateo <br /> <br /> It is mutually understood and agreed that the above communities (hereinafter the <br /> Local Franchising Authorities, or LFA's), may delegate the authority to execute <br /> and implement this MOU to the San Mateo County Telecommunications <br /> Authority (SAMCAT). <br /> <br />2. As a commitment to support Public, Educational and Governmental (PEG) <br /> Access cable programming, AT&T Broadband agrees to lease one "dark" fiber to <br /> the LFA's that will be capable of simultaneous interactive transmission of video <br /> signaJs with the addition of~appropriate activation and terminal equipment (not <br /> provided by AT&T Broadband). The fiber will be used solely for the purpose of <br /> transmitting PEG Access signals. The fiber will provide a continuous run from <br /> the Peninsula TV studio at the College of San Mateo to the AT&T node presently <br /> located at Glendora Drive, and from that node to a fiber provided by RCN Corp. <br /> <br />3. The lease cost to the LFA's for the optical fiber shall be One Dollar ($1.00) per <br /> year. <br /> <br />4. The term of the lease shall commence on the date of execution of this <br /> Memorandum by AT&T Broadband and the LFA's authorized representative. <br /> The term of the lease shall extend through the last day of the remaining terms of <br /> the cable franchises currently held by AT&T Broadband and their assigns, <br /> successors in interest or any other company acquiring AT&T or is assets, with <br /> the LFA's, and any extensions thereto. <br /> <br />5. Within thirty (30) calendar days after the date of execution of the MOU, AT&T <br /> Broadband shall splice the leased optical fiber to a fiber to be provided by RCN. <br /> <br /> <br />
