Each Member Agency shalJ deposit <br />its monetary contribution to the budget with the HEAT-SMC Treasurer on or before the date <br /> <br />HEAT-SMC designates by resolution. Contributions from private persons or entities and not- <br />for-profit entities, whether or not their interests are represented by any At Large Directors, are <br />. acceptable so long as they do not cause a violation of any applicable conflict of interest statutes, <br />rules or regulations. <br /> <br />5.2. In consideration of the mutua] promises contained herein, the parties agree that they shaH <br />make the following annual contributions towards the Administrative budget of HEAT -SMC: <br />InitiaUy, tne County of San Mateo has or "viII, make available up to Seventy-Five Thousand <br />DoBars ($75,000) for the Administrative budget dUling the start up and initia] work of HEAT- <br />SMC. Thereafter, funds required for the Administrative budget shaH be provided by the <br />contribution of each Member Agency and each Member Agency's contribution shall be its 1'1"0- <br /> <br />rata share of the revenue needed for the Administrative budget as adopted by the Board of <br />Directors. The pro-rata share of each Member Agency shaH be based upon its population as then <br />culTently in use by City/County Association of Govel11ments of San Mateo County (C/CAG). <br />By unanimous vote, under specia] circumstances, the Board of Directors may waive one or more <br />Member Agency's contribution. If a Member Agency fails to pay its annual contribution to the <br />Administrative budget, during the pel;od of such non-payment it shaH forfeit any light it may <br />have to have a Public Director from its jurisdiction on the Board. A Member Agency's <br />contribution to the Administrative budget sha}] be in the form of money, unless the Board <br />approves another form of contribution such as services, persona! property or use of rea] or <br />personal property, or other in-kind contdbutions. The acceptance and valuation of any such non- <br />monetary c;ont¡ibutions shal] be as determined by the Board. <br /> <br />5.3 The particular Programs and Program budget, funded, sponsored or operated by HEAT- <br />SMC, as weJl as the level of, and mechanisms foi", the involvement of HEAT-SMC and each <br />Member Agency, in such Programs and Program budget, shall be detel111ined and approved by <br />the Board. A Member Agency's individual èontriblltion, involvement and role in any pa¡ticular <br />Program or the Program budget shaH be as may be mutllany agreed between the Member <br />Agency and HEAT-SMc.
