8. Paragraph Headings. Paragraph headings as used herein are for convenience <br />only and shall not be deemed to be a part of such paragraphs and shall not be construed to <br />change the meaning thereof. <br /> <br /> 9. Miscellaneous. <br /> <br /> (a) Successors and Assigns. This Agreement shall be binding upon and inure <br />to the benefit of the parties hereto and their permitted successors and assigns, including <br />successor owners of the Property, provided that if there is more than one successor owner, that <br />successor owner who also succeeds PSD as Declarant under the existing covenants, conditions <br />and restrictions binding the Property shall be the deemed successor and assign of this <br />Agreement. <br /> <br /> (b) Entire Agreement; Amendments. This Agreement contains the entire <br />understanding and agreement of the parties. This Agreement may be altered, amended or <br />modified only by an instrument in writing, executed by the parties to this Agreement. <br /> <br /> (c) Governing Law. This Agreement shall be construed and governed in <br />accordance with the laws of the State of California.
