ORIGINAL AMENDMENT NO.1 AGREEMENT FOR WATER AND WASTEWATER UTILITIES SYSTEMS TECHNICAL SUPPORT SERVICES FOR THE SCADA SYSTEM (The EDCCO Group) ¡his Amendment No.1 is entered into and effective as of the ed/ day of v~ ' 2006, amending the agreement dated July 25, 2005 (the "Agre ent") by and between the City of Redwood City, a charter city and municipal corporation ("City") , and THE EDCCO GROUP, a California General Partnership ("Consultant") (collectively, the "Parties") for technical support and system maintenance for the City's Supervisory Control and Data Acquisition (SCADA) system. RECITALS A. The Parties desire to alter the annual not to exceed amount of compensation to the consultant for continuing into the second year of the original two-year Agreement for services, which expires on July 24, 2007; and, B. The Parties have negotiated and agreed to increase the annual compensation in this the second year of the original two-year Agreement to continue the scope of work and fee schedule, Exhibit "A" and Exhibit "B" respectively, of the Original Agreement, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Paragraph 6. Compensation is amended in its entirety to read as follows: The total fee payable for the Service to be performed during the initial term of this Agreement will not exceed fifty Thousand and no/100 dollars ($50,000.00) in the first year of this Agreement and shall not exceed Eighty-five Thousand and no/100 dollars ($85,000.00) in the second year of this Agreement. No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. The City reserves the right to withhold a ten percent (10%) retention until the City has accepted the work and/or Services specified in Exhibit "A". Payment will occur after receipt by City of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. Incremental payments, if applicable, should be made as outlined in attached Exhibit "B". 2.
