<br />ORIGINAL <br /> <br />.... <br /> <br />AMENDMENT NO.4 TO AGREEMENT FOR PROFESSIONAL SERVICES <br />Mark Thomas & Company, Inc. <br /> <br />This Amendment No. 4 is entered into and effective as of the _ day of <br />, 2009, amending the agreement dated July 3, 2003 (the <br />"Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation ("City"), and Mark Thomas & Company, Inc., ("Consultant") (collectively, the <br />"Parties") for professional construction and management services related to the Ralston <br />Avenue/Marine Parkway/Route 101 Interchange Project. <br /> <br />RECITALS <br />A. On January 12, 2004, the Parties executed Amendment No. 1 in the amount <br />of $377,430.00 to the Agreement to add construction surveying and support; and <br /> <br />B. On May 6, 2004, the Parties executed Amendment No. 2 in the amount of <br />$48,000.00 to the Agreement for design services related to a bridge abutment; and <br /> <br />C. On February 23,2005, the Parties executed Amendment No.3 in the amount <br />of $118,600.00 to the Agreement to account for unforeseen and changed conditions; to <br />assist with contractor requests for information; and to redesign construction phasing; <br />and <br /> <br />D. The Parties desire to alter the Agreement's scope of work to provide for <br />additional services related to extensive close-out effort to complete the right of way <br />transaction process for the interchange project; and <br /> <br />E. The Parties have negotiated and agreed to a supplemental scope of work <br />and fee schedule, which is attached to and incorporated by this reference as Exhibit <br />"A," Scope of Services and Fee. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." <br /> <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" in an amount not to exceed Twenty Five Thousand Three <br />Hundred and 00/100 Dollars ($25,300.00). Consultant will provide City, on a monthly <br />basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, <br />and related activities and costs for approval by City. <br /> <br />3.
