ORIGINAL AMENDMENT NO. 3 TO AGREEMENT FOR PROFESSIONAL SERVICES (CSG CONSULTANTS, INC.) Te This Amendment No. 3 is entered into and effective as of the 0- day of 2018, amending the agreement dated February 20, 2018 and amended on May 11, 2018 and October 5, 2018 (the "Agreement") by and between the City of Redwood City, a charter city and municipal corporation ("City"), and CSG Consultants, Inc., ("Consultant") (collectively, the "Parties") for on call construction inspection services. RECITALS A. On February 20, 2018, the Parties executed the Agreement for Professional Services — CSG Consultants, Inc. ("Original Agreement"). B. On May 11, 2018, the Parties executed Amendment No. 1 to Agreement for Professional Services — CSG Consultants, Inc. ("Amendment No. 1"). C. On October 5, 2018, the Parties executed Amendment No. 2 to Agreement for Professional Services — CSG Consultants, Inc. ("Amendment No. 2"). The Original Agreement, Amendment No. 1 and Amendment No. 2 are collectively referred to herein as the "Agreement"). D. The Parties have negotiated and agreed to additional on-call construction inspection services, the payment for which would exceed the maximum dollar amount of the Agreement. E. The Parties have also agreed to a rate increase for the completion of all work and services described herein completed after January 1, 2019, as set forth in Revised Exhibit B, attached hereto and made a part hereof as reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In exchange for additional on call construction inspection services as described in Exhibit "A" of the Original Agreement, City will pay Consultant a not -to - exceed amount of One Hundred Thousand and No/100 dollars ($100,000.00), for an aggregate amount of Four Hundred Twenty Seven Thousand Six Hundred and No/100 Dollars ($427,600.00). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 2. On January 1, 2019, the fee schedule in Revised Exhibit "B" shall become effective. Exhibit "B" from the Original Agreement shall remain in effect until that time. 3.
