-')RIGINAL AMENDMENT NO. 4 TO AGREEMENT FOR PROFESSIONAL SERVICES (CSG Consultants, Inca This Amendment No. 4 is entered into and effective as of the 23 day of 2019, amending the agreement dated December 19, 2018 (the "Agreemeht"j by and between the City of Redwood City, a charter city and municipal corporation ("City"), and CSG Consultants, Inc-, a California corporation ("Consultant") (collectively, the "Parties") for on call construction inspection services. RECITALS A. On February 20, 2018, the Parties executed the Agreement for Professional Services — CSG Consultants, Inc. ("Original Agreement"). B. On May 11, 2018, the Parties executed Amendment No. 1 to Agreement for Professional Services — CSG Consultants, Inc. ("Amendment No. 1 "). C. On October 5, 2018, the Parties executed Amendment No. 2 to Agreement for Professional Services -- CSG Consultants, Inc. ("Amendment No. 2"). D. On December 19, 2018, the Parties executed Amendment No. 3 to Agreement for Professional Services — CSG Consultants, Inc. ("Amendment No. 3"). The Original Agreement, Amendment No. 1, Amendment No. 2 and Amendment No- 3 are collectively referred to herein as the ("Agreement"). E. The Parties have negotiated and agreed to additional on-call construction inspection services, the pavement for which would exceed the maximum dollar amount of the Agreement. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In exchange for additional on call construction inspection services as described in Exhibit "A" of the Original Agreement, the City will pay Consultant a not -to - exceed amount of Three Hundred Thousand and No/100 Dollars ($300,000.00), for an aggregate amount of Seven Hundred Twenty Seven Thousand Six Hundred and No/100 Dollars ($727,600.00). Consultant will provide City on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 2. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement, will include coverage for this Amendment. 4.
