ORIGINAL AMENDMENT NO. 5 TO AGREEMENT FOR PROFESSIONAL SERVICES (CSG Consultants, Inc.) Thi Amendment No. 5 (tr �a� "Amendment No. 5") is entered into and effective as of the day of JJA C/V , 2019, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and CSG Consultants, Inc., a California corporation ("Consultant') (collectively, the "Parties") for on-call construction inspection services. RECITALS A. The Parties previously executed that certain Agreement for Professional Services — CSG Consultants, Inc., dated as of February 20, 2018, (the "Original Agreement'). B. The Parties previously amended the Original Agreement by executing Amendment No. 1 (dated May 11, 2018), Amendment No. 2 (dated October 5, 2018), Amendment No. 3 (dated December 19, 2018), and Amendment No. 4 (dated May 23, 2019). The "Original Agreement' and Amendments No. 1, 2, 3, & 4 are collectively known as the "Agreement." C. The Parties have negotiated and agreed to additional on-call construction inspection services, the payment for which would exceed the maximum dollar amount of this Agreement. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In exchange for additional on-call construction inspection services described in Exhibit "A" of the Original Agreement, the City will pay Consultant a not -to - exceed amount of Four Hundred Thousand and No/100 Dollars ($400,000.00), which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 4, the total amount payable under the Agreement will be a not - to -exceed amount of One Million One Hundred Twenty -Seven Thousand Six Hundred and Noll 00 Dollars ($1,127,600.00). All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
