ORIGINAL <br />AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />(CSG Consultants, Inc.) <br />This Amendment No. 1 is entered into and effective as of the 2b day of <br />:Sur, -e— 2(14, extending and amending the agreement dated February 28, <br />2018 by and between the City of Redwood City, a charter city and municipal corporation of the <br />State of California ("City"), and CSG Consultants, Inc., California corporation ("Consultant") <br />(collectively, the "Parties") for building inspection and plan review services. <br />RECITALS <br />A. On February 28, 2018, the Parties executed an Agreement for Professional Services (the <br />"Original Agreement"); <br />B. City and Consultant desire to extend the Original Agreement and amend the terms <br />and conditions to update the compensation cap, revise the scope of services, revise the fee <br />schedule, and revise the insurance requirements; and <br />C. The Parties have negotiated and agreed to amendments to Exhibit "A," Scope of Services <br />and Fee, Exhibit `B," Fee Schedule, and Exhibit "C," Insurance Requirements. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />That the Original Agreement, as may have been amended from time to time, is hereby <br />extended for a period of one year ending on June 30, 2020 and Consultant will be paid a <br />not to exceed amount of six hundred thousand dollars ($600,000), for an aggregate <br />amount of one million two hundred thousand dollars ($1,200,000). Consultant will <br />provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br />performed, hourly rates, and related activities and costs for approval by City. <br />2. That the Exhibits "A," `B," and "C" to the Original Agreement are hereby deleted in their <br />entirety and replaced with the Exhibits "A," `B," and "C" attached to this Amendment <br />No. 1 to the Original Agreement, incorporated by this reference. <br />3. That the third paragraph of subsection 6.1 "Compensation" be struck in its entirety and be <br />replaced with the following paragraph: <br />Consultant shall not receive paid time off for days not worked, whether it <br />be in the form of sick leave, administrative leave, or for any other form of <br />absence. <br />4.
