ORIGINAL AMENDMENT NO. I TO EXTEND AND AMEND AGREEMENT FOR PROFESSIONAL SERVICES (SAFEbuilt, LLC) This Amendment No. 1 is entered into and effective as of the Z� day of 20L , extending and amending the agreement dated February 28, 2018 by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and SAFEbuilt, LLC., California corporation ("Consultant") (collectively, the "Parties") for building inspection and plan review services. RECITALS A. On February 28, 2018, the Parties executed an Agreement for Professional Services (the "Original Agreement'); B. City and Consultant desire to extend the Original Agreement and amend the terms and conditions to update the compensation cap, revise the scope of services, revise the fee schedule, and revise the insurance requirements; and C. The Parties have negotiated and agreed to amendments to Exhibit "A," Scope of Services and Fee, Exhibit "B," Fee Schedule, and Exhibit "C," Insurance Requirements. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: That the Original Agreement, as may have been amended from time to time, is hereby extended for a period of one year ending on June 30, 2020. Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 2. That the Exhibits "A," `B," and "C" to the Original Agreement are hereby deleted in their entirety and replaced with the Exhibits "A," `B," and "C" attached to 4this Amendment No. 1 to the Original Agreement, incorporated by this reference. 3. That the third paragraph of subsection 6.1 "Compensation' be struck in its entirety and be replaced with the following paragraph: Consultant shall not receive paid time off for days not worked, whether it be in the form of sick leave, administrative leave, or for any other form of absence. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Page 1 of 16 REV: 05-07-19 RL
