AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES (West Coast Code Consultants) This Amendment No. 3 (the "Amendment No. 3") is entered into and effective as of July 7, 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and West Coast Code Consultants, a California Corporation ("Consultant") (collectively, the "Parties"). RF[_ITAI S A. The Parties previously executed that certain Agreement for Professional Services, dated as of March 08, 2018, (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"), dated as of January 23, 2019. The Parties previously executed Amendment No. 2 to the Original Agreement ("Amendment No. 2"), dated as of June 28, 2019.The "Original Agreement," "Amendments No. 1," and "Amendment No. 2" are collectively known as the "Agreement." C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows - 1 . ollows: 1. City will pay Consultant a not -to -exceed amount of One Million Five Hundred Thousand Dollars ($1,500,000) for the completion of all the services described in Exhibit A, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not -to -exceed amount of Five Million Fifty Thousand Dollars ($5,050,000). 2. Unless terminated earlier, this Amendment will terminate on August 31, 2020. Including all amendments, through Amendment No. 3, the total term of this Agreement is two (2) years and five (5) months from the Effective Date of this Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 5. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this REV: 04-08-2020 RL ATTY/AGR.Amend.
