ORIGINAL <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />(Interwest Consulting Group) <br />THIS AGREEMENT FOR PROFESSIONAL SERVICES (AGREEMENT) is made and <br />entered into as of the �Ih day of Mor cVl , 2018, by and between the CITY OF <br />REDWOOD CITY, a charter city and municipal corporation of the State of California ("City"), <br />and Interwest Consulting Group, a company of Colorado registered to do business in the State of <br />California ("Consultant"), with reference to the following facts and intentions: <br />RECITALS <br />A. City requires the professional services of a building inspection and plan review <br />services consultant. <br />B. Consultant has the necessary experience in providing such professional services <br />and advice. <br />C. Selection of Consultant is expected to achieve the desired results in an expedited <br />fashion. <br />D. Consultant has submitted a proposal to City and has affirmed its willingness and <br />ability to perform such work. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />AGREEMENT <br />1. Scone of Work. <br />1.1 Tvoes of Services. City retains Consultant to perform, and Consultant agrees to <br />render, the type of services (the "Services") that are defined in attached Exhibit "A," which is <br />incorporated herein by reference. In the event of a conflict between the provisions of Exhibit "A" <br />and the terms of this Agreement, the terms of this Agreement shall prevail. City shall have the <br />right to modify the Services, including but not limited to, the right to delete types of Service in <br />whole or in part, upon providing written notification to Consultant. <br />1.2 Performance of Services. Consultant shall perform the Services at the direction of <br />the City's project administrator, which shall be the Building Official or designee ("Project <br />Administrator"). Those Services that Consultant shall perform at City offices during business <br />hours shall be referred to herein as "On -Site Services." Those Services that Consultant shall <br />perform elsewhere shall be referred to herein as "Off -Site Services." The Project Administrator <br />may direct Consultant to perform particular Off -Site Services either under the terms of this <br />Agreement or under the terms of a Task Order that has been executed by Consultant and City <br />pursuant to the procedures set forth in Exhibit A, which is attached hereto and incorporated herein <br />by this reference. <br />ATTY/AG R/2018.018/1 NTE R W E ST <br />REV: 02-05-18 RL <br />Page 1 of 19 <br />
