ORIGINAL <br />AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR <br />PROFESSIONAL SERVICES <br />(Interwest Consulting Group) <br />This Amendment No. 1 is entered into and effective as of the d <br />/� ay of <br />20 , xtending and amending the agreement dated March 8, 2018 <br />by and between the City of Redwood City, a charter city and municipal corporation of the State <br />of California ("City"), and Interwest Consulting Group., a company of Colorado registered to do <br />business in the State of California as a corporation ("Consultant") (collectively, the "Parties"), <br />for building inspection and plan review services. <br />RECITALS <br />A. On March 8, 2018, the Parties executed an Agreement for Professional Services (the <br />"Original Agreement'); <br />B. City and Consultant desire to extend the Original Agreement and amend the terms and <br />conditions to revise the scope of services, revise the fee schedule, and revise the <br />insurance requirements; and <br />C. The Parties have negotiated and agreed to amendments to Exhibit "A," Scope of Services <br />and Fee, Exhibit `B," Fee Schedule, and Exhibit "C," Insurance Requirements. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. That the Original Agreement, as may have been amended from time to time, is hereby <br />extended for a period of one year ending on June 30, 2020. Consultant will provide City, <br />on a monthly basis, copies of invoices sufficiently detailed to include hours performed, <br />hourly rates, and related activities and costs for approval by City. <br />2. That the Exhibits "A," "B," and "C" to the Original Agreement are hereby deleted in their <br />entirety and replaced with the Exhibits "A," `B," and "C" attached to this Amendment <br />No. 1 to the Original Agreement, incorporated by this reference. <br />3. That the third paragraph of subsection 6.1 "Compensation" be struck in its entirety and be <br />replaced with the following paragraph: <br />Consultant shall not receive paid time off for days not worked, whether it <br />be in the form of sick leave, administrative leave, or for any other form of <br />absence. <br />4.
