<br />the occurrence of any such damage to Pacific and/or to <br />Participants. City shall, on demand, reimburse Pacific <br />and/or Participants for the entire expense incurred in <br />replacing or repairing the damage. <br /> <br />9. Tax Liability <br /> <br />City agrees to pay, and to hold Pacific harmless from <br />and against, all penalties, interest, taxes or other <br />charges that may be levied or assessed against City, as <br />required by law, rule, regulation, or the Tariff. <br /> <br />l0. Payment <br /> <br />Provided the construction and installation of the USS <br />is satisfactory to Pacific, Pacific shall pay the city <br />on a quarterly bases. Pacific shall pay to City, <br />within thirty (30) calendar days after receipt of <br />City's bill, the actual cost of Pacific's share of the <br />Project work completed. As of the effective date of <br />this Agreement, the estimated cost is $350,000.00. <br /> <br />D. GENERAL PROVISIONS <br /> <br />l. Indemnification <br /> <br />City shall indemnify, defend and hold harmless Pacific, <br />its officers, agents, and employees as well as its <br />associated and affiliated companies and their <br />respective officers, agents, and employees from all <br />claims, suits or actions of every name, kind, and <br />description arising out of or relating to the matters <br />covered by this Agreement to the extent such claims, <br />suits, or actions are due to the negligence or willful <br />misconduct of City or City's failure to perform <br />obligations required of City under this Agreement. <br /> <br />Pacific shall indemnify, defend and hold harmless City, <br />its subsidiary agencies, and their officers, agents, <br />and employees from all-claims, suits or actions of <br />every name, kind, and description arising out of or <br />relating to the matters covered by this Agreement to <br />the extent such claims, suits, or actions are due to <br />the negligence or willful misconduct of Pacific or <br />Pacific's failure to perform obligations required of <br />Pacific under this Agreement. <br /> <br />City shall require its contractor to indemnify, defend, <br />and hold harmless City and Pacific, their subsidiary <br />agencies, and their officers, agents, and employees, as <br />well as their associated and affiliated companies and <br />their respective officers, agents, and employees <br />(lIIndemniteesll), from any losses or liabilities <br />incurred as a result of any injury or death to any <br />person(s) or damage to any property(ies) arising out of <br /> <br />5 <br />
