<br />REV: 03-16-18 MI <br />ATTY/AGR/2018.054/RECOLOGY OF SAN MATEO <br />Page 1 of 119 <br />AMENDED AND RESTATED 1 <br />FRANCHISE AGREEMENT 2 <br />FOR 3 <br />RECYCLABLE MATERIALS, ORGANIC MATERIALS, 4 <br />AND SOLID WASTE 5 <br />COLLECTION SERVICES 6 <br />THIS AMENDED AND RESTATED AGREEMENT (“Agreement”) is made as of this _____ 7 <br />day of __________, 2018, by and between the CITY OF REDWOOD CITY, a charter city and 8 <br />municipal corporation ("Agency"), and RECOLOGY SAN MATEO COUNTY, a California 9 <br />corporation ("Contractor"). 10 <br />RECITALS 11 <br />This Agreement is entered into with reference to the following facts and circumstances: 12 <br /> 13 <br />WHEREAS; the State of California has, through enactment of the California Integrated Waste 14 <br />Management Act of 1989 ("Act"), determined each of the following: 15 <br />A. That management of solid waste is a shared responsibility of the State and local 16 <br />governments; 17 <br />B. That it is in the public interest for local governments to be authorized and required to 18 <br />provide adequate solid waste handling services; 19 <br />C. That the amount of solid waste generated in California, coupled with diminishing landfill 20 <br />space, potential adverse environmental impacts from landfilling solid waste, and the need 21 <br />to conserve natural resources have created an urgent need for State and local agencies 22 <br />to enact and implement an aggressive integrated waste management program; and, 23 <br />WHEREAS; the State of California, through the Act, has directed the responsible State agency 24 <br />and all local agencies to maximize the use of feasible waste reduction, recycling, and composting 25 <br />options in order to reduce the amount of solid waste that must be disposed of in landfills; and, the 26 <br />State of California through AB 341, AB 1826, SB 1383, and other legislation have established 27 <br />additional requirements for increased diversion of recyclable materials and organic materials from 28 <br />landfill disposal; and, 29 <br />WHEREAS; Agency is a member of the South Bayside Waste Management Authority ("Authority" 30 <br />or “SBWMA”), established pursuant to the California Joint Exercise of Powers Act. In November, 31 <br />2007, the SBWMA, acting on behalf of Agency and its other members, issued a Request for 32 <br />Proposals to provide collection of solid waste, recyclable materials, and organic materials and 33 <br />related services to Agency and other members of SBWMA; and, 34 <br />WHEREAS; on March 11, 2008, Contractor submitted a proposal to provide these services, which 35 <br />was evaluated by the SBWMA; and, on the basis of that evaluation, the SBWMA recommended 36 <br />that Agency enter into an agreement with Contractor; and, 37 <br />WHEREAS; in 2009, Agency independently evaluated Contractor's proposal and determined that 38 <br />Contractor had proposed to provide solid waste handling services including collection of 39 <br />6.2.B. - Page 14
