<br />REV: 03-16-18 MI <br />ATTY/AGR/2018.054/RECOLOGY OF SAN MATEO <br />Page 74 of 119 <br />ARTICLE 9 3046 <br />RECORD KEEPING AND REPORTING 3047 <br />9.01 GENERAL 3048 <br />Contractor shall compile and maintain records related to its performance as necessary to 3049 <br />develop the reports required by this Agreement. Contractor agrees to conduct data 3050 <br />collection, record keeping, and reporting activities necessary to meet the reasonable 3051 <br />reporting and Solid Waste, Recyclable Materials, and Organic Materials program 3052 <br />management needs of the Agency, and to comply with Contractor’s obligations under the 3053 <br />Act and other State legislation/regulations (such as, but not limited to, AB 341, AB 1826, 3054 <br />and SB 1383), other Applicable Laws, and the requirements of this Agreement. 3055 <br />Record keeping and reporting requirements specified in this Agreement shall not be 3056 <br />considered a comprehensive list of reporting requirements. In particular, Article 9 is 3057 <br />intended to highlight the general nature of records and reports and their minimum content 3058 <br />and is not meant to comprehensively define the scope and content of the records and 3059 <br />reports. Upon written direction or approval of Agency, the records and reports required 3060 <br />by Contractor in accordance with this and other Articles of the Agreement shall be adjusted 3061 <br />in number, format, or frequency. 3062 <br />Contractor shall maintain all records necessary to allow the Agency to determine 3063 <br />Contractor’s compliance with the terms of the Agreement and compliance with the 3064 <br />Performance Standards and Performance Incentives/Disincentives presented in this 3065 <br />Agreement including, but not limited to, those related to the quality of Collection services 3066 <br />and customer service and those identified in Attachments I and J. The records shall be 3067 <br />maintained in a manner that allows for easy verification of Contractor’s performance. 3068 <br />9.02 GENERAL RECORD KEEPING PROVISIONS 3069 <br />A. General. Contractor shall maintain records required to conduct its operations, to 3070 <br />support requests it may make to Agency, and to respond to requests from Agency. 3071 <br />All records shall be maintained for five (5) years after the expiration or early 3072 <br />termination of this Agreement. 3073 <br />In order to set Contractor’s Compensation pursuant to Article 11, it is necessary for 3074 <br />Contractor to maintain accurate, detailed financial and operational information in a 3075 <br />consistent format and to make such information available to the Agency in a timely 3076 <br />fashion, and in accordance with reporting requirements specified in this Article. 3077 <br />B. Inspection of Records. Agency shall have the right to inspect or review the payroll 3078 <br />tax reports, specific documents or records required expressly or by inference 3079 <br />pursuant to this Agreement, or any other similar records or reports of Contractor that 3080 <br />Agency shall deem, in its sole discretion, reasonably necessary to evaluate reports, 3081 <br />compensation applications provided for in this Agreement, and Contractor's 3082 <br />performance or other matters related to this Agreement. 3083 <br />The Agency, its auditors, and other agents selected by the Agency, shall have the 3084 <br />right, during regular business hours, to conduct unannounced on-site inspections and 3085 <br />review of the records and accounting systems of Contractor and to make copies of 3086 <br />any of Contractor’s documents relevant to this Agreement. Upon request, Contractor 3087 <br />shall arrange for records of Related Party Entities to be made available to Agency 3088 <br />and its official representatives for review, to the extent such records are reasonably 3089 <br />6.2.B. - Page 87
