If litigation is filed regarding any dispute arising 4740 <br />under this Agreement, the action shall be filed in San Mateo County Superior Court and 4741 <br />the court shall award reasonable attorney’s fees and costs to the prevailing Party. To the 4742 <br />maximum extent permitted by law, all offers, promises, conduct and statements, whether 4743 <br />oral or written, made in the course of the mediation by any of the Parties, their agents, 4744 <br />employees, experts or attorneys, or by the mediator or any employees of the mediation 4745 <br />service, are confidential, privileged and inadmissible for any purpose, including 4746 <br />impeachment, in any arbitration or other proceeding involving the Parties, provided that 4747 <br />evidence that is otherwise admissible or discoverable shall not be rendered inadmissible 4748 <br />or non-discoverable as a result of its use in the mediation. All applicable statutes of 4749 <br />limitation and defenses based upon the passage of time shall be tolled until the end of the 4750 <br />sixty (60) day period referred to above.
