Exhibit A <br />Governance Structure <br />Redwood City 2020 uses a two-tiered governance model described below: <br />Redwood Citv 2020 Leadershio Council <br />Role: Serves as the policy-making body for the collaborative and takes action after receiving <br />information and recommendations from the Executive Team and the Redwood City 2020 <br />Executive Director. The Leadership Council sets vision, approves the appointment/termination <br />of the Executive Director and any changes to the Executive Director's salary, approves the <br />annual budget, approves program initiatives, approves monitoring and evaluation of program <br />implementation, aligns the values and purposes of member organizations and Redwood City <br />2020, and provides resources to sustain and grow the work of the collaborative. In addition, the <br />Leadership Council seeks resources and provides the forum in which issues impacting the <br />community served by Redwood City 2020 can be raised and addressed in a collaborative <br />manner. <br />Membership: Each Redwood City 2020 partner organization contributing at least $25,000 per <br />year to support the collaborative is entitled to have up to two members from the policy body of <br />its organization serve on the Leadership Council. These members should be elected or <br />appointed directors, or have equivalent policy level responsibility in their respective <br />organization. <br />Structure: The Leadership Council will annually select a Chair from its members, who will be <br />responsible for leading the meetings of the Leadership Council, serving as liaison between the <br />Leadership Council and the Executive Team, and working with the Executive Director to <br />develop meeting agendas. This position will rotate among partner organizations on an annual <br />basis every August. <br />Meetings: The Leadership Council will meet at least five (5) times annually. Additional meetings <br />will be scheduled as needed. The Leadership Council may choose to have one of these <br />meetings designated as a "joint policy meeting," in which the Redwood City 2020 Executive <br />Team and Leadership Council will meet together. The Leadership Council may choose to <br />convene a meeting of the community and program partners that work in Redwood City 2020 <br />priority areas to share information and receive input about community needs. <br />The dates selected for Leadership Council meetings for 2017-2018 include: <br />Wednesday, August 16, 2017 from 9:00 AM —12:00 PM (Joint Policy Meeting) <br />Wednesday, October 18, 2017, from 9:00 AM -10:30 AM <br />Wednesday, January 17, 2018, from 9:00 AM -10:30 AM <br />Wednesday, March 21, 2018 from 9:00 AM -10:30 PM <br />Wednesday, May 16, 2018 from 9:00 AM -10:30 AM <br />REV' 03-12-18 RL <br />Page 5 of 7 <br />ATTY/AGR.2018.047/Sequoia Healthcare District RC2020 <br />
