<br />satisfaction, a declaration stating this. <br /> <br />3.2 Additional Provisions. Grantee will ensure that the policies of insurance <br />required under this Grant Agreement contain, or are endorsed to contain, the <br />following provisions: <br /> <br />3.2.1 For Commercial General Liability Insurance and Automobile <br />Liability Insurance, Grantor, the City of. Redwood City, their officers, <br />agents, volunteers and employees will be named as additional insureds. <br /> <br />3.2.2 Grantee will obtain occurrence coverage which will be written as <br />claims-made coverage. <br /> <br />3.2.3 This insurance will be in force during the life of the Grant <br />Agreement and any extensions of it and will not be canceled without thirty <br />(30) days prior written notice to Grantor sent pursuant to the Notice <br />provisions of this Grant Agreement. <br /> <br />3.3 Providinq Certificates of Insurance and Endorsements. Prior to Grantor's <br />execution of this Grant Agreement, Grantee will furnish certificates of insurance <br />and endorsements to Grantor. <br /> <br />3.4 Failure to Maintain Coveraqe. If Grantee fails to maintain any of these <br />insurance coverages, then Grantor will have the option to declare Grantee in <br />breach, or may purchase replacement insurance or pay the premiums that are <br />due on existing policies in order to maintain the required coverages. Grantee is <br />responsible for any payments made by Grantor to obtain or maintain insurance <br />and Grantor may collect these payments from Grantee or deduct the amount <br />paid from any sums due Grantee under this Grant Agreement. <br /> <br />3.5 Submission of Insurance Policies. Grantor reserves the right to require, at <br />anytime, complete and certified copies of any or all required insurance policies <br />and endorsements. <br /> <br />3.6 Primary Coveraqe. For any claims related to the Services and this Grant <br />Agreement, Grantee's insurance coverage will be primary insurance with respect <br />to Grantor, its officers, agents, volunteers and employees. Any insurance or self- <br />insurance maintained by Grantor for itself, its officers, agents, volunteers and <br />employees, will be in excess of Grantee's insurance and not contributory with it. <br /> <br />3.7 Reduction in Coveraae/Material Chanaes. Grantee will notify Grantor <br />thirty (30) days prior to any reduction in any of the insurance coverage required <br />pursuant to this Grant Agreement or any material changes to the respective <br /> <br />Atty/Agr/Agr.188 <br />052604/OBB/cis <br /> <br />3 <br />
