Covenants of the City. The City agrees that: <br /> <br />= <br /> <br />(a) Any personnel retained by the City as a result of this grant <br />of Funds shall in no event be considered to be employees, agents or <br />contractors of RSP. The City, as employer, shall be solely responsible <br />for such personnel, including their supervision, compensation and <br />fringe benefits. <br /> <br />(b) The advance of Funds by RSP, in accordance with Paragraph 3, <br />shall be the sole and complete obligation of RSP under this agreement. <br />RSP shall have no further obligation under this agreement to advance <br />any additional sums to the City. <br /> <br />6. Reservation of Discretion. Nothing in this agreement shall be <br />construed to mean that the City has made or is maki ng any covenants, <br />promises or representations whatsoever with respect to any Entitlements for <br />any proposed projects within Redwood Shores. We understand that the City's <br />approval or denial of any Entitlements or projects shall be made solely on <br />their merits and without regard to this agreement or the transactions <br />contemplated herein. Furthermore, the City retains all rights, powers and <br />discretion to process applications for Entitlements in the manner and time <br />periods provided by law. <br /> <br />If I have accurately stated our agreement, please execute the enclosed <br />copy of this letter and return it to me. <br /> <br /> <br />.; <br /> <br />Donal G.
