1�/ <br /> RT <br /> REPO <br /> To the Honorable Mayor and City Council <br /> From the City Manager <br /> December 19, 2005 <br /> Subject <br /> Consideration of First Amended and Restated Joint Exercise of Powers Agreement of the <br /> South Bayside Waste Management Authority ("SBWMA") <br /> Recommendation <br /> Determine whether or not to approve the First Amended and Restated Joint Exercise of <br /> Powers Agreement. <br /> Background <br /> The SBWMA was formed by a Joint Exercise of Powers (JPA) Agreement effective <br /> December 9, 1999 by twelve (12) local agencies that include the Town of Atherton, City of <br /> Belmont, City of Burlingame, City of East Palo Alto, City of Foster City, Town of <br /> Hillsborough, City of Menlo Park, City of Redwood City, City of San Carlos, City of San <br /> Mateo, West Bay Sanitary District and the County of San Mateo (the Member Agencies). <br /> These Member Agencies were all founding members of the SBWMA and all came on <br /> board as equity members (there are no Non Equity members). Priorto December 9, 1999 <br /> all of the same agencies were part of a prior JPA, the South Bayside Transfer Station <br /> Authority (SBTSA), a JPA formed in June 1982. <br /> The SBTSA members had contracted with Browning & Ferris Industries of California, Inc. <br /> (BFI) to have collected Solid Waste be processed through the Transfer Station built by BFI <br /> in San Carlos. In 1999 the SBTSA exercised an option to acquire the Transfer Station and <br /> related buildings such as the Recyclery, including the real property on which they are <br /> located (the Facilities). The SBWMA was then formed, issued revenue bonds in early <br /> 2000, and followed through in place as the successor to SBTSA to acquire the Facilities <br /> from BFI. <br /> The SBWMA now owns the Facilities and operates the Transfer Station and Recyclery <br /> through an Operating Agreement with Allied Waste Systems (formerly known as BFI). That <br /> Agreement, which would initially expire on December 31, 2009, has now been extended by <br /> the SBWMA through December 31, 2010. The SBWMA recently entered into a Disposal <br /> Agreement with Allied Waste Systems, which owns and operates the landfill at Ox <br /> Mountain. The term of that Agreement runs to December 31, 2019. <br /> All of the Member Agencies have individual Collection Agreements with Allied Waste <br /> Systems for Solid Waste, Recyclable and Plant Material collection. Those Collection <br /> Agreements were likewise recently extended with Allied Waste Systems through December <br /> 31, 2010. <br /> The operation of the SBWMA has become a full-time activity. Forthat reason, it has been <br /> determined by the SBWMA Board to employ a full-time Executive Director. A recruitment <br /> for that position is now underway. <br />
