<br /> 1.3 The assets, rigl�ts, debts, liabilities, and obligatioiis of HEAT-SMC sha11 not constitute
<br /> assets, rigbts, debts, liabilities, or obligations of any of the Mcmber Agencies. Ho«�ever,
<br /> nothing in this Agz�eement shall prevent any Agency from separately contracting for, or
<br /> assunung responsibi�ity for, specific debts, tiabilities, or obligations of �IEAT-SMC, provided
<br /> that bath tlie Board and that Agency approve such contraci or assumption.
<br /> 2. Poweis. Tha HEAT-SMC is Autl�orized, but is in no way required, to act in its o"�n name
<br /> on any or alI of tf�e following mutters, �ts each Member could act separately, and as it deems in
<br /> the best interest of its Membars, to the extent permitted Uy any and all applicable laws, codes,
<br /> ordinlnces, resoluti��is and regulations:
<br /> a. Facilitate th� acc�uisition, constniction, finai�cing, refinancing, operacion,
<br /> regulation, and m�int�nance of housin� programs, projects and faciIities by
<br /> Member Agencies and otheis in the housing sector.
<br /> b. Pl�n, study, and recommend proper and flppropriate housing programs, projects
<br /> and faci3ities, and manaeement pi•ACtices. Researct� flnd study issues related to
<br /> housing, including without limitation workfo2�ce, nffordable and special needs
<br /> }10US1I1 a.
<br /> c. Educate the publie, its Member Agencies, and other agencies and entities as to
<br /> l,ousina pro�ams, projects and facilities, includin� without limitation worl:force,
<br /> affordable and speciAl needs housing.
<br /> d. Provide for ar enter into agreements to provide for financial, en�ineeiina, legal,
<br /> audit, and any other professional se�7�ices supporting any of the HEAT-SMC's
<br /> programs or activities.
<br /> e. Solicit, apply for, accept, and receive grants, gifts, donations, advances, and
<br /> concributions.
<br /> f. Hire agents and employces, including consultnnts and legal counset. �
<br /> �. Sue and be sued in ita orvn name,
<br /> h. Incur and discharge debts, liabilities, and obli�ations.
<br /> i. Issue bonds or notes end associated covenants for desidnated puiposes, subject to
<br /> the provisions und limitations of the California G�vernment Code,
<br /> j. Acquire or protect flny necessary security or leasehold ic�[erests involved in Ioans,
<br /> bonds, notes, or other financing method�c intplern�nted t� car!•y aul the perg�ses of
<br /> this Ayi�ement.
