20. Conflict of Interest <br />A. Contractor shall prevent employees, consultants, or members of governing <br />bodies from using their positions for purposes including, but not limited to, the <br />selection of subcontractors, that are, or give the appearance of being, <br />motivated by a desire for private gain forthemselves or others, such as family, <br />business, or other ties. In the event that County determines that a conflict of <br />interest exists, funds may be disallowed by the County and such conflict may <br />constitute grounds for termination of the Agreement. <br />B. This provision shall not be construed to prohibit employment of persons with <br />whom Contractor's officers, agents, or employees have family, business, or <br />other ties, so long as the employment of such persons does not result in a <br />conflict of interest (real or apparent) or increased costs over those associated <br />with the employment of any other equally qualified applicant, and such <br />persons have successfully competed for employment with the other applicants <br />on a merit basis. <br />21. Debarment. Suspension. and Other Responsibility Matters <br />A. Contractor certifies to the best of its knowledge and belief, that it and its <br />subcontractors: <br />Are not presently debarred, suspended, proposed for debarment, <br />declared ineligible or voluntarily excluded from covered transactions by <br />any federal department or agency [45 CFR § 92.35]; <br />2. Have not within a three (3) year period preceding this Agreement been <br />convicted of or had a civil judgment rendered against them for <br />commission of fraud or a criminal offense in connection with obtaining, <br />attempting to obtain, or performing a public (federal, state, or local) <br />transaction or contract under a public transaction; violation of federal or <br />state antitrust statutes or commission of embezzlement, theft, forgery, <br />bribery, falsification or destruction of records, making false statements, or <br />receiving stolen property; <br />3. Are not presently indicted for or otherwise criminally or civilly charged by <br />a governmental entity (federal, state, or local) with commission of any of <br />the offenses enumerated in paragraph (A)(2) of this section; and <br />4. Have not within a three (3) year period preceding this Agreement had one <br />or more public transactions (federal, state, or local) terminated for cause <br />or default; <br />B. Contractor shall report immediately to the County Behavioral Health and <br />Recovery Services ("BHRS") in writing any incidents of alleged fraud and/or <br />16 <br />REV: 01-17-18 RL <br />
