<br />directly on the Rent received under this lease or on the rent received under any <br /> <br />other leases of space in the Building or any license fee, franchise tax, <br />assessment, levy, or charge measured by or based, in whole or in part, upon <br /> <br />such rent, or any transfer, transaction, or similar tax, assessment, levy, or charge <br />based directly or indirectly upon the transaction represented by this Lease, on <br /> <br />the use or presence of furniture or cubicles, or other leases of premises in the <br />Building, or any occupancy, use, per capita, or other tax, assessment, levy, or <br /> <br />charge based directly or indirectly upon the use or occupancy of the Premises or <br />other premises within the Building or Property; and (12) any other costs or <br /> <br />expenses incurred by Landlord under this lease and reasonably necessary to <br />operate, repair, manage, and maintain the Building and Property in a first-class <br /> <br />manner and condition and not otherwise reimbursed by tenants of the Building. <br /> <br />2.3.6.1 Exclusions from Operating Expenses. <br />items shall be excluded from "Operating Expenses": <br /> <br />The following <br /> <br />(a) <br /> <br />repairs or other work occasioned by (i) <br /> <br />earthquake, fire, windstorm, or other casualty of the type which Landlord has <br />insured or is required to insure to the extent Landlord is reimbursed by insurance <br /> <br />proceeds, provided however, that the deductible portion of any insured loss shall <br /> <br />be included in the operating expenses; (ii) the exercise of the right of eminent <br />domain, to the extent landlord is reimbursed by condemnation proceeds; <br /> <br />(b) <br /> <br />leasing commissions, attorneys' fees, costs, <br /> <br />and disbursements and other expenses incurred in connection with negotiations <br /> <br />or disputes with other tenants in no way attributable to Tenant, other occupants, <br />prospective tenants or other occupants, or legal fees incurred in connection with <br /> <br />this Lease; <br /> <br />(c) <br /> <br />expenses, including permits, license and <br /> <br />~f~ <br />~ <br />
