Grogan <br /> <br />Client: 42924.1 <br /> <br />Date: <br /> <br />October 25, 2005 <br /> <br />Re: <br /> <br />Summary of Cable Television Franchise Renewal <br /> <br />BACKGROUND <br /> <br />Belmont, Brisbane, Foster City, Millbrae, Redwood City, San Carlos, San Mateo and San <br />Mateo County, California ("8 Agencies") have been engaged in a cable television <br />franchise renewal process with Comcast of California IX, Inc. ("Comcast"). <br /> <br />In preparation for franchise renewal the 8 Agencies prepared a needs assessment which <br />included a technical inspection of the cable system, a community needs ascertainment, a <br />review of the PEG access programming, subscriber surveys and related matters. Brian <br />Grogan, on behalf of the 8 Agencies, submitted the Informal Needs Assessment Report, <br />including a draft Cable Television Franchise Agreement ("Franchise") to Comcast. <br /> <br />Thereafter, the 8 Agencies created a negotiating subcommittee (Fred Smith of Brisbane, <br />Steve Toler of Foster City, Brian Moura of San Carlos and Donna Perkins of San Mateo) <br />to meet with Brian Grogan and Comcast representatives either via conference call or <br />face-to-face to discuss the draft Franchise and report periodic updates regarding the status <br />of the negotiations. Numerous conference calls and many face-to-face discussions were <br />held between the parties in an attempt to reach mutually acceptable terms and conditions <br />for the Franchise. <br />
