<br />FXS:d-"- 11/20/96 <br /> <br />(009/72) <br /> <br />tools, <br /> <br />construction, <br /> <br />equipment <br /> <br />and <br /> <br />machinery <br /> <br />thereon <br /> <br />owned <br /> <br />by <br /> <br />CM/GC and may finish the Project by whatever reasonable method it <br /> <br />may deem expedient. <br /> <br />In such case, CM/GC shall not be entitled to <br /> <br />receive <br /> <br />any <br /> <br />further payment until the Project is <br /> <br />finished nor <br /> <br />shall it be relieved from its obligations hereunder. <br /> <br />In the event that this Agreement is terminated for cause or <br /> <br />otherwise, <br /> <br />Ci ty shall have the option to substitute the CM/ GC. <br /> <br />All contracts between CM/GC and Subcontractors and/or suppliers <br /> <br />shall, <br /> <br />upon Cityls <br /> <br />exercise <br /> <br />of <br /> <br />the <br /> <br />option, <br /> <br />be <br /> <br />assumed by <br /> <br />the <br /> <br />substitute <br /> <br />CM/GC. <br /> <br />A <br /> <br />clause <br /> <br />informing <br /> <br />subcontractors <br /> <br />of <br /> <br />the <br /> <br />position <br /> <br />set <br /> <br />forth <br /> <br />in <br /> <br />this <br /> <br />subparagraph <br /> <br />shall <br /> <br />be <br /> <br />inserted <br /> <br />in <br /> <br />every subcontract between CM/GC and subcontractors. <br /> <br />l7. <br /> <br />RECORDS. <br /> <br />CM/GC shall keep and maintain accurate records <br /> <br />of all time expended and costs and expenses incurred relating to <br /> <br />services to be performed by CM/GC hereunder. <br /> <br />Said records shall <br /> <br />be <br /> <br />available <br /> <br />to <br /> <br />City <br /> <br />for <br /> <br />review <br /> <br />and <br /> <br />copying <br /> <br />during <br /> <br />regular <br /> <br />business <br /> <br />hours <br /> <br />at <br /> <br />CM/GCls <br /> <br />place <br /> <br />of business, <br /> <br />or <br /> <br />as <br /> <br />otherwise <br /> <br />agreed upon by the parties. <br /> <br />18. <br /> <br />HOLD HARMLESS. <br /> <br />CM/GC hereby agrees to defend, indemnify <br /> <br />and <br /> <br />save <br /> <br />harmless <br /> <br />City, <br /> <br />its <br /> <br />Council, <br /> <br />boards, <br /> <br />commissions, <br /> <br />officers, <br /> <br />employees <br /> <br />and <br /> <br />agents <br /> <br />from <br /> <br />and <br /> <br />against <br /> <br />any <br /> <br />and <br /> <br />all <br /> <br />claims, <br /> <br />suits, <br /> <br />actions, <br /> <br />liability, <br /> <br />loss, <br /> <br />damage, <br /> <br />expense, <br /> <br />costs <br /> <br />(including, without limitation, costs and fees of litigation) of <br /> <br />every nature, kind and description, which may be brought against, <br /> <br />or <br /> <br />suffered <br /> <br />or <br /> <br />sustained <br /> <br />by, <br /> <br />City, <br /> <br />its <br /> <br />Council, <br /> <br />boards, <br /> <br />commissions, officers, employees or agents, caused by, or alleged <br /> <br />to <br /> <br />have <br /> <br />been <br /> <br />caused <br /> <br />by, <br /> <br />the <br /> <br />negligence, <br /> <br />intentional <br /> <br />1 <br /> <br />act <br /> <br />or <br /> <br />omission, <br /> <br />or <br /> <br />willful <br /> <br />misconduct <br />13 <br /> <br />of <br /> <br />CM/GC, <br /> <br />its <br /> <br />officers, <br />
