<br />FXS:d";~ ll/20/96 <br /> <br />(009/72) <br /> <br />which documents are incorporated herein by this reference as if <br /> <br />fully set forth herein. <br /> <br />2. <br /> <br />WORK PERFORMANCE. <br /> <br />All of the work to be done on the <br /> <br />Project shall be done under the direction and supervision of, and <br /> <br />with <br /> <br />and <br /> <br />to <br /> <br />the <br /> <br />approval <br /> <br />of, <br /> <br />City <br /> <br />or <br /> <br />its <br /> <br />authorized <br /> <br />representative, and CM/GC shall cause the work to be done in the <br /> <br />best workmanlike manner, conforming strictly to the provisions of <br /> <br />the specifications and plans made therefor and wi thin the time <br /> <br />agreed upon by the parties. <br /> <br />CM/GC shall be responsible to City for the act and omissions <br /> <br />of CM/GC IS <br /> <br />agents, <br /> <br />employees, <br /> <br />and Subcontractors, <br /> <br />their agents <br /> <br />and employees, for work performed under this Agreement. <br /> <br />Upon award of bids to subcontractors pursuant to competitive <br /> <br />bidding, <br /> <br />all subcontractors, <br /> <br />shall be executed by GM/GC and the <br /> <br />respective subcontractors. <br /> <br />3. <br /> <br />COMPENSATION; <br /> <br />EXPENSES; <br /> <br />PAYMENT. <br /> <br />( a) <br /> <br />CM/GC <br /> <br />Compensation. <br /> <br />Compensation will be made in accordance with the <br /> <br />schedule of payments corresponding to the Phases of services to <br /> <br />be performed and more fully described in Exhibit "B," <br /> <br />attached <br /> <br />hereto and incorporated by this reference. <br /> <br />City shall compensate <br /> <br />CM/GC for all services performed by CM/GC hereunder in an amount <br /> <br />based <br /> <br />upon <br /> <br />CM/GCls <br /> <br />hourly <br /> <br />rates <br /> <br />described <br /> <br />in <br /> <br />Exhibit <br /> <br />"C", <br /> <br />attached hereto and by this reference incorporated herein. <br /> <br />Notwithstanding <br /> <br />the <br /> <br />foregoing, <br /> <br />the <br /> <br />combined <br /> <br />total <br /> <br />of <br /> <br />compensation <br /> <br />and <br /> <br />reimbursement <br /> <br />of <br /> <br />costs <br /> <br />payable <br /> <br />hereunder <br /> <br />for <br /> <br />construction management, general contractor and related services, <br /> <br />as <br /> <br />described <br /> <br />in Exhibit <br /> <br />"A", <br /> <br />shall <br /> <br />not exceed <br /> <br />the <br /> <br />sum of Two <br /> <br />2 <br />
