<br />FXS:djJr 05/l6/97 <br /> <br />(009/72) <br /> <br />other contract documents, or systems, methods or designs which a <br /> <br />construction manager <br /> <br />performing <br /> <br />CM/GCls <br /> <br />obligations <br /> <br />reasonably <br /> <br />should and could have discovered prior to the PAP having been <br /> <br />established, <br /> <br />but <br /> <br />contingencies <br /> <br />shall <br /> <br />not <br /> <br />include: <br /> <br />changes <br /> <br />in <br /> <br />scope, costs incurred as a result of differing conditions, costs <br /> <br />which would be recoverable under Public Contract Code Sections <br /> <br />7102 or 7104, or costs attributable to the negligence, errors or <br /> <br />omissions by the Architect or other design professional, <br /> <br />except <br /> <br />for, <br /> <br />and <br /> <br />only <br /> <br />to <br /> <br />the <br /> <br />extent <br /> <br />that, <br /> <br />such <br /> <br />costs <br /> <br />are <br /> <br />minor <br /> <br />discrepancies referred to above, <br /> <br />in this subparagraph. <br /> <br />Nothing <br /> <br />in <br /> <br />this <br /> <br />Agreement <br /> <br />shall <br /> <br />relieve <br /> <br />the <br /> <br />Architect <br /> <br />or <br /> <br />any <br /> <br />design <br /> <br />professional <br /> <br />from <br /> <br />any <br /> <br />liability <br /> <br />for <br /> <br />negligence, <br /> <br />errors, <br /> <br />omissions, <br /> <br />breaches of contract or similar failures to satisfy <br /> <br />obligations <br /> <br />(collectively, <br /> <br />"Costs of Design Errors"). <br /> <br />In <br /> <br />the <br /> <br />event <br /> <br />that <br /> <br />Costs <br /> <br />of <br /> <br />Design <br /> <br />Errors <br /> <br />result <br /> <br />in <br /> <br />the <br /> <br />amounts <br /> <br />allocated for Contingencies being consumed (in whole or in part) <br /> <br />or exceeded, CM/GC and City agree to cooperate in the filing of <br /> <br />an action or arbitration. <br /> <br />Cooperation under this paragraph does <br /> <br />not <br /> <br />include <br /> <br />cooperation <br /> <br />in <br /> <br />the <br /> <br />pursuit <br /> <br />of <br /> <br />the <br /> <br />action <br /> <br />or <br /> <br />arbitration <br /> <br />by <br /> <br />CM/GC <br /> <br />against <br /> <br />the <br /> <br />Architect <br /> <br />or <br /> <br />other <br /> <br />design <br /> <br />professional. <br /> <br />4. <br /> <br />ADDITIONAL <br /> <br />SERVICES. <br /> <br />In <br /> <br />the <br /> <br />event <br /> <br />City <br /> <br />desires <br /> <br />the <br /> <br />performance of additional services not otherwise included within <br /> <br />the <br /> <br />services described in Exhibit <br /> <br />"A" , <br /> <br />such <br /> <br />services <br /> <br />shall be <br /> <br />authorized <br /> <br />by <br /> <br />written <br /> <br />task <br /> <br />order <br /> <br />approved <br /> <br />in <br /> <br />advance <br /> <br />of <br /> <br />the <br /> <br />performance thereof by Cityls City Council by motion duly made <br /> <br />and carried. <br /> <br />Such task order shall include a description of the <br /> <br />6 <br />
