<br />FXS:d¿'- 05/l6/97 <br /> <br />(009/72) <br /> <br />of time is provided, to supply enough properly skilled workers or <br /> <br />proper <br /> <br />materials, <br /> <br />or <br /> <br />if <br /> <br />it <br /> <br />fails <br /> <br />to <br /> <br />make <br /> <br />proper <br /> <br />payment <br /> <br />to <br /> <br />Subcontractors for materials or labor, or persistently disregards <br /> <br />laws, <br /> <br />ordinances, <br /> <br />rules, <br /> <br />regulations <br /> <br />or <br /> <br />orders <br /> <br />of <br /> <br />any <br /> <br />public <br /> <br />authority <br /> <br />having <br /> <br />jurisdiction, <br /> <br />or <br /> <br />otherwise <br /> <br />is <br /> <br />guilty <br /> <br />of <br /> <br />a <br /> <br />substantial <br /> <br />violation <br /> <br />of <br /> <br />a <br /> <br />provision <br /> <br />of <br /> <br />this <br /> <br />Agreement, <br /> <br />(collectively referred to as "Violation"), then City may, without <br /> <br />prejudice to any right or remedy and after giving CM/GC and its <br /> <br />surety, if any, seven days' written notice, during which period <br /> <br />CM/GC fails to take reasonable steps to cure the Violation, or <br /> <br />fails to cure the Violation within fifteen <br /> <br />(15) <br /> <br />days <br /> <br />from the <br /> <br />date of the written notice, terminate the employment of CM/GC and <br /> <br />take possession of <br /> <br />the <br /> <br />site <br /> <br />and 0 f <br /> <br />all materials, <br /> <br />equipment, <br /> <br />tools, <br /> <br />construction, <br /> <br />equipment <br /> <br />and machinery <br /> <br />thereon owned by <br /> <br />CM/GC and may finish the Project by whatever reasonable method it <br /> <br />may deem expedient. <br /> <br />In such case, CM/GC shall not be entitled to <br /> <br />receive any further payment until the Project is <br /> <br />finished nor <br /> <br />shall it be relieved from its obligations hereunder. <br /> <br />In the event that this Agreement is terminated for cause or <br /> <br />otherwise, City shall have the option to substitute the CM/GC. <br /> <br />All contracts between CM/GC and Subcontractors and/or suppliers <br /> <br />shall, <br /> <br />upon Cityls <br /> <br />exercise <br /> <br />of the option, <br /> <br />be <br /> <br />assumed by <br /> <br />the <br /> <br />substitute <br /> <br />CM/GC. <br /> <br />A <br /> <br />clause <br /> <br />informing <br /> <br />subcontractors <br /> <br />of <br /> <br />the <br /> <br />position <br /> <br />set <br /> <br />forth <br /> <br />in this <br /> <br />subparagraph <br /> <br />shall be <br /> <br />inserted <br /> <br />in <br /> <br />every subcontract between CM/GC and subcontractors. <br /> <br />17. <br /> <br />RECORDS. <br /> <br />CM/GC shall keep and maintain accurate records <br /> <br />of all time expended and costs and expenses incurred relating to <br /> <br />13 <br />
