4674 San Carlos, CA 94070 <br />4675 Contractor shall promptly provide Agency the name and contact information for the <br />4676 above employees if there is a change during the Term. <br />4677 15.09 REPRESENTATIVES OF THE PARTIES <br />4678 A. Reoresentotives of Aaencv. References in this Agreement to "Agency" shall <br />4679 mean the City and all actions to be taken by Agency shall be taken by the City <br />4680 Council except as provided below. The City Council may delegate authority to the <br />4681 City Manager, and/or to other Agency officials and may permit such officials, in turn, <br />4682 to delegate in writing some or all of such authority to subordinate officers. <br />4683 Contractor may rely upon actions taken by such delegates if they are within the <br />4684 scope of the authority properly delegated to them. <br />4685 B. Representative of Contractor. Contractor shall, by the Commencement Date, <br />4686 designate in writing a responsible officer who shall serve as the representative of <br />4687 Contractor in all matters related to the Agreement and shall inform Agency in writing <br />4688 of such designation and of any limitations upon his or her authority to bind <br />4689 Contractor. Agency may rely upon action taken by such designated representative <br />4690 as actions of Contractor unless they are outside the scope of the authority <br />4691 delegated to him/her by Contractor as communicated to Agency. <br />4692 15.10 DUTY OF CONTRACTOR NOT TO DISCRIMINATE <br />4693 In the performance of this Agreement Contractor shall not discriminate, nor permit any <br />4694 subcontractor to discriminate, against any employee, applicant for employment, or <br />4695 Customer on account of race, color, national origin, ancestry, religion, sex, age, physical <br />4696 disability, medical condition, sexual orientation, marital status, or other characteristic, in <br />4697 violation of any Applicable Law. <br />4698 15.11 RESERVED <br />4699 15.12 RIGHT OF AGENCY TO MAKE CHANGES IN SERVICES AND SERVICE LEVELS <br />4700 <br />A. Agency may, without amending this Agreement, direct Contractor to cease <br />4701 <br />performing one or more types of service described in Articles 5 or 6, or may direct <br />4702 <br />Contractor to modify the scope of one or more such services, may direct <br />4703 <br />Contractor to perform additional Solid Waste, Targeted Recyclable Materials, <br />4704 <br />Organic Materials, Used Motor Oil, Used Motor Oil Filters, Household Batteries <br />4705 <br />and Cell Phones or Plant Materials handling services, or may otherwise direct <br />4706 <br />Contractor to modify its performance under any other Section of this Agreement. <br />4707 <br />In addition, SBWMA may, without amendment of this Agreement, direct a change <br />4708 <br />in the number of Waste Zero Specialists as provided in Section 7.04.A, or a <br />4709 <br />change in Other Services as provided in Section 7.13. Contractor shall promptly <br />4710 <br />and cooperatively comply with such direction. <br />4711 <br />B. If such changes cause an increase or decrease in the cost of performing the <br />4712 <br />services, an equitable adjustment in the Contractor's Compensation shall be made <br />4713 <br />pursuant to Section 11.06.
