4754 ARTICLE 16 <br />4755 MISCELLANEOUS PROVISIONS <br />4756 16.01 GOVERNING LAW <br />4757 This Agreement shall be governed by, and construed and enforced in accordance with, <br />4758 the laws of the State of California. <br />4759 16.02 JURISDICTION <br />4760 Any lawsuits between the Parties arising out of this Agreement shall be brought and <br />4761 concluded in the courts of the State of California, which shall have exclusive jurisdiction <br />4762 over such lawsuits. With respect to venue, the Parties agree that this Agreement is <br />4763 made in and will be performed in San Mateo County. <br />4764 16.03 BINDING ON SUCCESSORS <br />4765 The provisions of this Agreement shall inure to the benefit of and be binding on the <br />4766 successors and permitted assigns of the Parties. <br />4767 16.04 PARTIES IN INTEREST <br />4768 <br />Nothing in this Agreement is intended to confer any rights on any Persons other than the <br />4769 <br />Parties to it and their permitted successors and assigns. <br />4770 <br />16.05 <br />WAIVER <br />4771 <br />The waiver by either Party of any breach or violation of any provisions of this Agreement <br />4772 <br />shall not be deemed to be a waiver of any breach or violation of any other provision nor <br />4773 <br />of any subsequent breach or violation of the same or any other provision. <br />4774 <br />16.06 <br />ATTACHMENTS <br />4775 <br />Each of the attachments, identified as Attachments "A' through "S," is attached hereto <br />4776 <br />and incorporated herein and made a part hereof by this reference. <br />4777 <br />16.07 <br />ENTIRE AGREEMENT <br />4778 <br />This Agreement, including the attachments, represents the full and entire agreement <br />4779 <br />between the Parties with respect to the matters covered herein and supersedes all prior <br />4780 <br />negotiations and agreements, either written or oral. <br />4781 <br />16.08 <br />SECTION HEADINGS <br />4782 <br />The article headings and section headings in this Agreement are for convenience of <br />4783 <br />reference only and are not intended to be used in the construction of this Agreement nor <br />4784 <br />to alter or affect any of its provisions. <br />REV: 03-16-18 MI <br />Page 118 of 126 <br />ATTY/AGR.2018.054/Recology of San Mateo <br />
