ATTY/AGREEMENTS/2018/AMENDMENTS/AMEND NO. 5 MANAGEMENT PARTNERS, INC. <br />REV: 06-18-18 VR <br />Page 1 of 3 <br />AMENDMENT NO. 5 TO EXTEND AND AMEND AGREEMENT FOR <br />(Management Partners, Inc.) <br /> <br />This Amendment No. 5 is entered into and effective as of the January 1, 2018, <br />extending and amending the agreement dated July 18, 2015 (the “Agreement”) by and <br />between the City of Redwood City, a charter city and municipal corporation of the State <br />of California ("City"), and Management Partners, Inc., (“Consultant") (collectively, the <br />“Parties”) for project management assistance. <br /> <br />RECITALS <br />A. On July 18, 2015, the Parties executed the Agreement for Professional <br />Services (“Original Agreement”); and <br /> <br />B. By letter agreement dated August 28, 2015, the Parties agreed to a <br />"Revised Scope of Services for Additional Tasks ("Letter Agreement"); and <br /> <br />C. On February 22, 2016 , the Parties executed Amendment No. 1 to <br />E xtend and Amend Agreement for Professional Services ("Amendment No. 1"); and <br /> <br />D. On July 7, 2016, the Parties executed Amendment No. 2 to Extend and <br />Amend Agreement for Professional Services ("Amendment No. 2"); and <br /> <br />E. On August 23, 2016, the Parties executed Amendment No. 3 to Extend <br />and Amend Agreement for Professional Services (“Amendment No. 3”) and <br /> <br />F. On October 28, 2016, the Parties executed Amendment No. 4 to Extend <br />and Amend Agreement for Professional Services (“Amendment No. 3”) (the Original <br />Agreement, Letter Agreement, Amendment No. 1, Amendment No. 2, Amendment No. <br />3, and Amendment No. 4 are collectively referred to as the “Agreement”); and <br /> <br />G. The Parties have negotiated and agreed to amendments attached to and <br />incorporated in by reference as Exhibit “A,” Scope of Services and Fee and Term. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br /> 1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." With this Amendment, the total Agreement amount shall not exceed One <br />Hundred Twenty Nine Thousand Five Hundred Dollars ($129,500.00). <br /> <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit “A” on a time and materials basis not-to-exceed Twenty Thousand <br />Dollars ($20,000.00), for an aggregate amount of $129,500.00. Consultant will provide <br />City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br />6.1.F. - Page 3
