REV: 06-15-18 VR <br />Page 1 of 14 <br />DESIGN PROFESSIONAL AGREEMENT <br />(ELS Architecture and Urban Design) <br /> <br />THIS AGREEMENT is made and entered into as of the _____ day of <br />__________________, 201_, by and between the CITY OF REDWOOD CITY, a <br />charter city and municipal corporation of the State of California ("City"), and ELS <br />Architecture and Urban Design, a California corporation ("Consultant"). <br /> <br />RECITALS <br />A. City and Consultant previously entered into a Professional Design <br />Services Agreement, dated November 9, 2017, to manage the master planning effort <br />and schematic design process for the Veterans Memorial Building/Senior Center - <br />YMCA Joint Project (the “Project”) at Red Morton Park. <br /> <br />B On My 21, 2018, the City Council approved the schematic design for <br />Veterans Memorial Building/Senior Center – YMCA Joint Project and authorized the <br />preparation of Design Development and Construction Documents for Phase 1 of the <br />Project with respect to the Veterans Memorial Building/Senior Center, East Parking <br />Area, and Promenade. <br /> <br />C. City requires the professional services of an architecture firm to provide <br />the design development and construction documents described in Recital B., above, <br />as well as to provide further study of traffic calming concepts. <br /> <br />D. Consultant has the necessary experience in providing professional <br />services and advice. <br /> <br />E. Selection of Consultant is expected to achieve the desired results in an <br />expedited fashion. <br /> <br />F. Consultant has submitted a proposal to City and has affirmed its <br />willingness and ability to perform such work. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual <br />covenants contained herein, the Parties agree as follows: <br /> <br />1. Scope of Work. City retains Consultant to perform, and Consultant agrees to <br />render, those services (the "Services") that are defined in attached Exhibit "A," which <br />is incorporated herein by reference. In the event of a conflict between the provisions <br />of Exhibit “A” and the terms of this Agreement, the terms of this Agreement shall <br />prevail. City shall have the right to modify the scope of work to delete tasks in whole <br />or in part after providing Consultant with written notice of the modification. <br /> <br />2. Standard of Performance. While performing the Services, Consultant will <br />exercise the reasonable professional care and skill customarily exercised by <br />reputable members of Consultant's profession practicing in the urban Northern <br /> <br />ATTY/AGR/2018.128/ELS ARCHITECTURE & URBAN DESIGN <br />6.1.D. - Page 5
