ORIGINAL AGREEMENT BETWEEN THE CITY OF REDWOOD CITY (CITY) AND STAR VISTA This Agreement is entered into this 1st day of July, 2017 (the Effective date), by and between StarVista, a California nonprofit corporation ("Contractor"), and the CITY OF REDWOOD CITY, a California municipal corporation and charter city ("City'). City and Contractor are sometimes referred to hereinafter individually as "Party and collectively as "Parties." WHEREAS, it is necessary and desirable that Contractor be retained for the purpose of providing a safe sobering environment for individuals brought to First Chance for being under the influence of alcohol or a controlled substance. NOW THEREFORE, in consideration of the faithful performance of the terms and conditions set forth in this Agreement, the Parties hereto agree as follows: 1. EXHIBITS AND ATTACHMENTS The following exhibits and attachments are attached to this Agreement and incorporated into this Agreement by this reference: Exhibit A — Services Exhibit B — Payments and Rates 2. SERVICES TO BE PERFORMED BY CONTRACTOR In consideration of the payments set forth in this Agreement and in Exhibit B, Contractor shall perform services for City in accordance with the terms, conditions, and specifications set forth in this Agreement and in Exhibit A. 3. PAYMENTS In consideration of the services provided by Contractor in accordance with all terms, conditions, and specifications set forth in this Agreement and in Exhibit A, City shall make payment to Contractor based on the rates and in the manner specified in Exhibit B. City reserves the right to withhold payment if City determines that the quantity or quality of the work performed is unacceptable. The City agrees to pay Contractor FORTY THOUSAND ONE HUNDRED NINETY-ONE DOLLARS AND FIVE CENTS ($40,191.05) for fiscal year 17/18, THIRTY- SEVEN THOUSAND TWO HUNDRED TWELVE DOLLARS AND SEVENTY-THREE CENTS ($37,212.73) for fiscal year 18/19 and THIRTY-EIGHT THOUSAND SEVEN HUNDRED ONE DOLLARS AND TWENTY-FOUR CENTS ($38,701.24) for fiscal year 19/20, for a total not to exceed amount of ONE HUNDRED SIXTEEN THOUSAND ONE HUNDRED FIVE DOLLARS AND TWO CENTS ($116,105.02) for the completion of all the work and services described herein.
