and employment records held by a covered entity in its role as employer. v. "City Data" means all data created or in any way originating with the City, and all data that is the output of computer processing of or other electronic manipulation of any data that was created by or in any way originated with the City, whether such data or output is stored on the City's hardware, Consultant's hardware or exists in any system owned, maintained or otherwise controlled by the City or by Consultant. vi . "City Identified Contact" means the person or persons designated in writing by the City to receive Security Incident or Data Breach notification, and shall initially be the person listed in Section 16. vii. "Security Incident" means the potentially unauthorized access by non-authorized persons to Personal Data or Non-Public Data Consultant believes could reasonably result in the use, disclosure or theft of City's unencrypted Personal Data or Non-Public Data within the possession or control of Consultant, including but not limited to the theft or loss of encrypted data . A Security Incident may or may not turn into a Data Breach. 18, Conflict of Interest. If disclosure under the Political Reform Act and City's Conflict of Interest Code is required of Consultant or any of Consultant's employees, agents, or subcontractors, Consultant or Consultant's affected employees, agents, or subcontractors shall complete and file with the City Clerk those schedules specified by City and contained in the Statement of Economic Interests Form 700, Consultant, for Consultant and on behalf of Consultant's agents, employees, subcontractors and consultants warrants that by execution of this Agreement, that they have no interest, present or contemplated, in the projects affected by this Agreement. Consultant further warrants that neither Consultant, nor Consultant's agents, employees, subcontractors and consultants have any ancillary real property, business interests or income that shall be affected by this Agreement or, alternatively, that Consultant shall file with City an affidavit disclosing this interest. 19. General Compliance with Laws . Consultant will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Consultant, or in any way affect the performance of the Services by Consultant. Consultant will at all times observe and comply with these laws, ordinances, and regulations and will be responsible for the compliance of Consultant's Services with all applicable laws, ordinances and regulations. 20. Discrimination and Harassment Prohibited . Consultant will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment.
