REV: 06-27-23 RL <br />AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES <br /> (ELS Architecture and Urban Design) <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of ____________________, 2023, by and between the City of Redwood City, a charter <br />city and municipal corporation of the State of California (“City”), and ELS Architecture and <br />Urban Design, a California corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Design Professional <br />Agreement, dated as of June 26, 2018, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of February 24, 2020, <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of September 27, 2021 (the “Original <br />Agreement” and “Amendments No. 1 and 2” are collectively known as the “Agreement”). <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Two Hundred Forty- <br />Eight Thousand Four Hundred Seventy-Two Dollars ($248,472) for the completion of all <br />the Services in the Original Agreement per the fee schedule in Exhibit “A”, which sum will <br />include all costs or expenses incurred by Consultant. Including all amendments through <br />Amendment No. 3 the total amount payable under the Agreement will be a not-to-exceed <br />amount of Eight Million Eight Hundred Fourteen Thousand Seven Hundred Fifty-Six <br />Dollars ($8,814,756). <br /> <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 3. <br />4. The individuals executing this Amendment No. 3 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 3. <br />ATTY/AGR.2023/Amend.
