AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES The Sourcing Group, LLC This Amendment No. 1 (the "Amendment No. 1") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City") and The Sourcing Group, LLC, a New York corporation ("Sourcing Group" or "Assignee" or "Consultant") as assignee of lmageX, Inc. ("ImageX" or "Assignor"), is entered into and effective as of October , 2020. RECITALS A. City and ImageX previously executed that certain Agreement for Services, dated as of July 9, 2020 ("Agreement"). B. ImageX hereby assigns, transfers, grants, and conveys all its rights, title, interest, powers, privileges, and benefits under the Agreement to Sourcing Group. C. Sourcing Group as assignee hereby assumes the liabilities under the Agreement and will perform such assumed liabilities as they come due, in each case in the manner and to the extent set forth in the Agreement. D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Section 17 of the Agreement shall be revised to reflect the following notice provisions for Consultant: Notices to Consultant shall be delivered to: The Sourcing Group, LLC 5990 Stoneridge Drive, Suite 112 Pleasanton, CA 94588 Attn: Glen Douglas 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 4. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment.
