#11 <br />6.2.B. - Page 4 <br />MASTER AGREEMENT <br />FOR <br />PARKING ACCESS AND REVENUE SYSTEM (PARCS) <br />(Scheidt & Bachmann USA, Inc.) <br />This Agreement is made and entered into between the City of Redwood City ("City"), a <br />municipal corporation, and Scheidt & Bachmann USA, Inc., a Delaware Corporation, whose <br />principal address is 31 North Avenue; Burlington, MA 01803 ("Contractor") as of QJ � [ <br />2015 (the "Effective Date"). In consideration of their mutual covenants, the parties hereto agree <br />as follows: <br />1. Scope of Work, Subject to the terms and conditions of this Agreement, <br />Contractor shall provide the services, hardware and software described in this Agreement and the <br />exhibits hereto. In summary, the scope of work includes but it not limited to installation of a <br />ftilly integrated automated hardware and software system for controlling revenue, vehicle access, <br />and validations commonly known as a Parking Access and Revenue Control System (PARCS) <br />within each of two City -owned parking garages at the following locations: <br />a. 585 -space garage located at 850 Jefferson Avenue, known as the <br />Jefferson/Century Theatre Garage; <br />b. 387 -space garage located at 750 Marshall Street, known as the Marshall Garage. <br />The exhibits listed below are incorporated into and made a part of this Agreement. <br />Exhibit A Statement of Work <br />Attachment 1 Project Schedule <br />Attachment 2 Transition Plan (sample to be replaced by project -specific plan) <br />Exhibit B List of Project Deliverables and Pricing <br />Exhibit C Warranty and Maintenance Services Terms <br />Attachment 1 Sample Preventive Maintenance Checklist <br />Exhibit D Software License Agreement <br />2. Payment `Perms. <br />a. For the services, hardware and software described in Exhibits A throuah D (the <br />"Proiect"), the City agrees to pay Contractor a total amount that shall not exceed $706,690.63, if <br />the City exercises its option to include the CCTV installation work. If the option is not <br />exercised, the City agrees to pay Contractor a total amount that shall not exceed $641,879.73. <br />Contractor shall submit progress billings at the following Project Milestones set out in the <br />Project Schedule which is included as Exhibit A, Attachment 1: <br />(i) 35% upon receipt of Notice to Proceed from City (Milestone 1); <br />(ii) 25% upon delivery of all hardware and software for both garages to City (Milestone <br />2); <br />(iii) 30% upon completion of hardware and software installation at both garages <br />(Milestone 3); <br />(iv) 10% upon final acceptance by City of the PARCS at both garages (Milestone 4). <br />REV: 09-10-15 VR <br />Page 1 of 61 <br />ATTY/AGR.2015.217/Scheidt & Bachmann USA, Inc.
