6.1.C. - Page 4 <br />AMENDMENT NO. 5 <br />TO EXTEND AND AMEND AGREEMENT FOR <br />Finance and IT Services <br />Silicon Valley Clean Water <br />(Formerly South Bayside System Authority) <br />This Amendment No. 5 is entered into and effective as of the first day of .July, <br />2018, extending and amending the Agreement for Professional Services (Finance <br />and IT Services for SBSA) dated July 8, 2012 (the "Agreement") by and between <br />the City of Redwood City, a charter city and municipal corporation of the State of <br />California ("City"), and Silicon Valley Clean Water ("SVCW") (Formerly South <br />Bayside System Authority ("SBSA"), (collectively, the "Parties") for provision of <br />Finance and IT Services by the City to SVCW. <br />RECITALS <br />A. On July 8, 2012, the Parties executed the Agreement; and <br />B. On July 1, 2014, the Parties executed an Amendment No. 1 to Extend <br />the Agreement for Professional Finance and IT Services for SVCW; and <br />C. On July 1, 2015, the Parties executed an Amendment No. 2 to Extend <br />the Agreement for Professional Finance and IT Services for SVCW; and <br />D. On July 1, 2016, the Parties executed an Amendment No. 3 to Extend the <br />Agreement for Professional Finance and IT Services for SVCW; and <br />E. On July 1, 2017, the Parties executed an Amendment No. 4 to Extend the <br />Agreement for Professional Finance and IT Services for SVCW; and <br />The Parties have negotiated and agreed to amendments attached hereto and <br />incorporated herein by reference as Exhibit "A," Scope of Services. <br />NOW, THEREFORE, in consideration of these recitals and the mutual <br />covenants contained herein, the Parties agree as follows: <br />1. The Agreement, as may have been amended from time to time, is <br />hereby extended for a period of one year ending on June 30, 2019. <br />2. Scope of Services: During the term of this Amendment No. 5, City will <br />provide the services listed on Exhibit "A," (the "Services"). <br />1 The total fee payable for the Services to be performed during the term <br />of this Amendment No. 5 will be One Hundred and Twenty -Seven Thousand, Five <br />Hundred and Ninety -Eight dollars ($127,598).
