<br />08/26/04 <br /> <br />BA Y AREA EMPLOYEE RELATIONS SERVICE <br />BYLA WS <br /> <br />These bylaws are adopted pursuant to Article 23 of the Joint Powers agreement <br />for the Bay Area Employee Relations Service. Unless otherwise specified, the <br />definitions of terms in that Agreement shall also apply to these bylaws. <br /> <br />1. <br /> <br />BOARD OF DIRECTORS MEETINGS <br /> <br />The two regular meetings of the Board of Directors required in Article 8 of the <br />Agreement shall, unless otherwise determined by the Management Committee, be <br />scheduled in February and September of each year. <br /> <br />During the first meeting of the year, the Board shall elect officers for the <br />following fiscal year and develop a budget and fee structure to be considered as <br />early as possible in the budget process for the next fiscal year. <br /> <br />During the second meeting of the year, the Board may consider adjustments to <br />budget and fees that may be necessary. <br /> <br />Either of these meetings, or any special meeting that may be called, may also <br />include activities intended to define or address member needs. <br /> <br />2. <br /> <br />MANAGEMENT COMMITTEE ELECTIONS AND VACANCIES <br /> <br />As provided in Article 9 of the Joint Powers Agreement, the Management <br />Committee of the Board of Directors consists of seven (7) members, one of which <br />is from the County and two of which are the President and Vice-President of the <br />Board, who also serve as the President and Vice-President of the Committee <br />respectively. <br /> <br />Each of the other four members of the Management Committee shall be elected <br />by majority vote of a quorum of the Board of Directors. <br /> <br />3. <br /> <br />MEMBER REPRESENT A TIVES AND LIAISON <br />
